Material changes versus the prior comparable period

  • Sales increased 65%, primarily from the April 2011 acquisition of Goodyear’s Latin American farm tire business, stronger agricultural and earthmoving/construction demand, and price/mix improvements.
  • The acquired business contributed $90.3 million of sales in Q1 2012, including $57.5 million of supply-agreement sales recorded in the consumer segment.
  • Agricultural sales rose to $295.8 million from $210.0 million; earthmoving/construction sales rose to $104.6 million from $66.5 million; consumer sales rose to $62.7 million from $4.3 million.
  • Operating margin improved to 12.7% from 9.6%, reflecting higher volume, improved plant utilization and operating leverage. SG&A declined to 6.7% of sales from 9.0%.
  • Operating cash flow improved by $26.2 million, although working capital absorbed $55.0 million from higher accounts receivable and $22.4 million from higher inventories, partially offset by a $35.3 million increase in accounts payable.
  • Cash financing outflows increased to $12.3 million, principally due to a $12.4 million repayment of term-loan borrowings. Capital expenditures increased by $4.7 million.

Guidance, outlook, risks and unusual items

Management expects sales to remain at strong levels for the remainder of 2012 and expects continued strong demand in the agricultural and earthmoving/construction markets. Planned capital expenditures for the remainder of 2012 were approximately $40 million, and anticipated interest payments were approximately $12 million.

Management identified volatility in energy, raw material and petroleum-based costs as a potential margin risk. Other risks include seasonal production and working-capital patterns, economic and end-market conditions, commodity prices, foreign-currency movements, labor relations, product liability and warranty claims, environmental regulation, litigation and changes in government policy. Employees at the Bryan, Ohio and Freeport, Illinois facilities were working without contracts as of March 31, 2012; the affected employees represented approximately 34% of the workforce.

The company corrected an immaterial acquisition-accounting error related to the Goodyear Latin American business as of January 1, 2012, reducing goodwill by approximately $10.1 million after currency effects and revising deferred tax balances. Titan also recorded a $5.9 million after-tax unrealized investment gain and a $3.6 million currency translation gain in comprehensive income. Warranty liability increased to $19.5 million from $14.0 million at March 31, 2011. Management expects approximately $6.0 million of additional pension contributions during the remainder of 2012.

Routine legal proceedings were disclosed; management does not currently expect them to have a material adverse effect. The filing states that there were no material changes to previously disclosed risk factors or market-risk information, and that disclosure controls were effective.

Important facts for investors to verify

  • Whether the high 2012 sales base, particularly the $57.5 million of supply-agreement sales, is recurring and sustainable.
  • The impact of raw-material, energy and petroleum-cost volatility on the 20.2% gross margin.
  • Working-capital conversion, including the substantial increases in receivables and inventories.
  • Debt maturities, interest obligations, convertible-note dilution and continued covenant compliance.
  • Execution and profitability of the Goodyear Latin American acquisition, including the revised purchase-price allocation.
  • Potential effects of unresolved labor agreements, warranty claims, litigation, environmental matters and foreign-currency exposure.
  • Whether projected 2012 capital spending, pension contributions and interest payments can be funded from operating cash flow and available liquidity.
