Liquidity, debt and segments
- Consolidated cash and cash equivalents were $80.8 million at year-end, but Non-Operating Corporate held only $2.5 million on a stand-alone basis. Subsidiary distributions are subject to financing covenants, available funds and other restrictions.
- Consolidated debt principal was $722.8 million, compared with $725.3 million a year earlier. Parent-level debt was $436.9 million, including $330.0 million of 8.5% secured notes, $51.8 million of 7.5% convertible notes, a $20.0 million drawn revolver and a $35.1 million CGIC note. The company reported compliance with debt covenants at December 31, 2023.
- The CGIC note matures in 2026, but its interest rate steps up from 9% to 16% in May 2024 and to 32% in May 2025. Spectrum’s $69.7 million notes were extended to August 2025, with amended effective rates of 20.6%–24.0% and additional exit fees. R2’s related-party notes were refinanced in January 2024 as a $20.0 million note bearing 20% interest, due April 30, 2024, subject to specified earlier-maturity triggers and exit fees.
- Infrastructure: Revenue fell 12.4% to $1,397.2 million, while operating income rose to $64.4 million from $57.5 million. Backlog was $1,057.2 million; five projects accounted for 46.1% of it. The two largest customers generated 41.3% of segment revenue.
- Life Sciences: Revenue declined to $3.3 million from $4.3 million; operating loss narrowed to $15.0 million from $20.1 million. R2 launched Glacial fx in North America in 2023. MediBeacon’s investment carrying value remained zero after recognized equity-method losses.
- Spectrum: Revenue fell to $22.5 million from $38.7 million, mainly because the Azteca America network ceased operations at the end of 2022. Operating loss narrowed to $3.4 million from $3.8 million.
Changes, outlook and key risks
- Total revenue declined 13.1%, driven mainly by project timing and lower activity in Infrastructure and by the Azteca shutdown. Operating income improved, but the benefit of lower expenses was partly offset by lower gross profit.
- Interest expense increased $16.2 million, reflecting higher rates, more debt and financing costs from extensions. Other income included a $12.2 million gain on the sale of the remaining HMN interest and a $3.8 million MediBeacon step-up gain. The HMN sale generated $54.2 million of gross proceeds; operating cash flow also benefited from working-capital movements.
- Management said it expects to meet liquidity needs for at least twelve months from financial-statement issuance, relying on cash, subsidiary distributions and a planned $19 million rights offering, backstopped by Lancer Capital, plus a concurrent $16 million preferred-stock private placement. These arrangements involve a related party controlled by the Board Chair; conversion of certain preferred shares requires stockholder approval. The filing does not provide formal operating earnings or revenue guidance.
- The company disclosed the unexpected July 2023 death of CEO Wayne Barr; Paul K. Voigt was serving as Interim CEO when the filing was signed. Its NYSE common-stock price deficiency notice issued February 26, 2024 had not been cured as of the filing date; failure to regain compliance within the cure period could lead to delisting.
- Major risks include substantial debt and reliance on subsidiary cash upstreaming; escalating borrowing costs and refinancing needs; project estimation, cost overruns and concentrated backlog; customer and supplier exposure; early-stage Life Sciences funding and regulatory risks; broadcast competition and FCC licensing; and potential dilution from financing. The auditor identified DBMG estimated costs to complete on certain contracts as a critical audit matter. The company also disclosed ongoing DTV derivative, Marin Hospital and Meruelo litigation; it said outcomes were uncertain and did not believe pending matters would materially affect the financial statements, while it could not estimate loss for certain cases.
Important facts for investors to verify

- DBMG backlog conversion, project margins, customer concentration, receivables and working-capital needs; verify assumptions behind estimated costs to complete.

- Developments in disclosed litigation, broadcast-license renewals, and any subsequent changes to contingencies or liquidity outlook.
