Guidance, outlook, commentary and risks

The filing does not provide specific full-year revenue or earnings guidance. Management described liquidity and capital resources as strong and expects operations, capital expenditures and scheduled debt payments to be adequately funded. A July 2020 restructuring plan is expected to generate approximately $15 million to $17 million of total charges over up to 24 months; $5.8 million had been recorded through March 31, 2021.

Key uncertainties include the duration and effects of COVID-19, customer demand and inventory changes, supply-chain interruptions, availability and cost of labor and raw materials, petroleum-based input costs, foreign-exchange movements, regulatory approval and commercialization of customer products, competition, reliance on certain suppliers and affiliates, and the sustainability of elevated high-value and COVID-19-related demand.

The Vial2Bag product line, recalled in 2019 because of potential variable dosing, returned to the market after FDA clearance of the Vial2BagAdvanced 20mm Admixture Device in October 2020. The company reported no material changes to previously disclosed legal proceedings, commitments, contingencies or risk factors.

Investor verification points

  • Determine how much of the Q1 growth and margin expansion is recurring versus attributable to COVID-19 demand and the $11.8 million of cancelled-supply-agreement fees.
  • Monitor customer demand, order patterns and potential normalization of biologics and vaccine-related activity.
  • Reconcile GAAP operating profit of $175.6 million with adjusted operating profit of $179.2 million and review the treatment of restructuring, impairment, pension and amortization items.
  • Assess the cash impact of continued share repurchases, capital expenditures and the scheduled debt maturity, including the Series A notes due July 2022.
  • Review exposure to supply-chain constraints, petroleum-based raw-material costs, foreign currency and key suppliers or affiliates.
  • Track the remaining $152 million authorization under the 2021 share-repurchase program and the company’s ability to maintain current margins as demand mix changes.
