Q2 net revenue margin was 46.4%, up from 41.8%; the six-month margin was 45.8%, up from 40.2%. Interest expense increased to $94.7 million in Q2 and $187.8 million for the six months, primarily because debt was used to fund the 2015 acquisitions. The effective tax rate was 39.6% in Q2 and 35.7% for the six months.

At June 30, 2016, cash and cash equivalents were $377.8 million, working capital was $465.8 million, current debt maturities were $121.1 million, and long-term debt was $5,342.7 million. Total debt, including current maturities, was approximately $5.46 billion. The ABL Facility had $567.6 million of availability after $257.7 million of letters of credit and $100.0 million drawn; the company was in compliance with its financial covenants.

Capital expenditures were $224.0 million during the first six months. Management expected full-year 2016 net capital expenditures of approximately $475 million to $500 million and stated that operating cash flow, existing cash, and revolver availability were expected to fund existing operations.

Material changes versus the prior comparable period

  • Revenue increased 202.9% in Q2 and 276.7% for the first six months, primarily because the 2015 acquisitions of Norbert Dentressangle and Con-way were included for substantially more of the 2016 period.
  • Transportation revenue increased 180.9% in Q2 and 231.3% for the six months. Segment operating income rose to $153.2 million in Q2 and $228.6 million for the six months.
  • Logistics revenue increased 270.4% in Q2 and 418.1% for the six months. Segment operating income rose to $51.1 million in Q2 and $83.0 million for the six months.
  • Consolidated SG&A declined to 11.1% of revenue in Q2 from 18.1% and to 11.6% for the six months from 17.5%, reflecting scale and integration-related cost savings.
  • Logistics net revenue margin declined to 75.7% in Q2 from 87.3% and to 75.6% for the six months from 90.9%, primarily because acquired contracts had lower margins.
  • Operating cash flow improved by $290.8 million year over year for the six months, while investing cash use fell substantially because the prior-year period included $1.61 billion of acquisition spending.

Outlook, commentary, risks, and unusual items

Management’s strategy is to integrate the acquired businesses, achieve cost savings, optimize operations, cross-sell Transportation and Logistics services, and expand technology-enabled supply chain offerings. The filing states that the forecasted effective tax rate for full-year 2016 was expected to approximate 39%.

Restructuring charges were $18.7 million in the first six months, leaving a restructuring reserve of $39.8 million at June 30, 2016. The Con-way purchase price allocation remained preliminary, with open valuation items including property and equipment, leasehold assets and liabilities, intangible assets, assumed liabilities, and taxes.

Principal risks include substantial indebtedness and interest-rate exposure, foreign currency volatility, fuel prices, customer retention, integration and realization of acquisition synergies, driver and carrier availability, competition and pricing pressure, information technology execution, labor matters, and litigation involving alleged misclassification of independent contractors and wage-and-hour claims.

The company identified Brexit as a material risk because approximately 37% of 2015 revenue was generated in Europe, including 12% in the United Kingdom. It also disclosed voluntary reporting to the U.S. Treasury’s Office of Foreign Assets Control regarding two European transactions involving Iranian entities or carriers; the reported revenue and net profit were immaterial, but regulatory penalties and reputational consequences remain possible.

Management stated that it had adequately accrued for probable and reasonably estimable legal contingencies, but could not estimate potential losses in excess of accrued amounts for several classification and wage-and-hour matters. Disclosure controls were deemed effective as of June 30, 2016.
