Liquidity, debt and capital allocation
- Cash, cash equivalents and marketable securities totaled $513.0 million at March 31, 2024, versus $520.1 million at December 31, 2023. Cash and cash equivalents alone were $282.5 million.
- Current assets were $552.1 million and current liabilities $83.1 million. The company said existing liquidity, operating cash flow and available borrowing capacity should fund working-capital needs for at least 12 months.
- Senior unsecured notes have $550.0 million principal, mature in January 2030 and bear 5% annual interest. Their carrying value, net of issuance costs, was $542.8 million. No amounts were drawn under the $250.0 million credit facility; $245.6 million remained available after letters of credit. The company reported covenant compliance.
- Financing cash outflow was $8.3 million, including $6.4 million of share repurchases and $4.8 million for tax withholding on net-settled equity awards. Approximately $57.0 million remained under the repurchase authorization.
- Stock-based compensation was $18.6 million for the quarter; $149.1 million of unrecognized RSU compensation remained, expected to be recognized over a weighted-average 1.5 years.
Material changes and management commentary
- Revenue fell $61.5 million, primarily as fewer employers paid for marketplace services and employers reduced recruitment budgets amid high inflation, high interest rates and economic uncertainty. Management also cited fewer job openings and lower employee turnover.
- Quarterly Paid Employers were 71,572, down from 105,948 a year earlier but slightly above 70,712 in Q4 2023. Management described Q1 as the first quarter of sequential stability in this metric since 2022.
- Revenue per Paid Employer was $1,708, below $1,922 in Q4 2023. Management said employers spent less on marketplace products and services.
- Sales and marketing expense declined 38% to $54.7 million, mainly from a $25.0 million reduction in marketing and advertising and lower personnel costs following the May 2023 workforce reduction of approximately 20%. R&D declined 6% to $36.1 million, while rising to 30% of revenue from 21%, largely because revenue fell.
- Cash from operations decreased year over year. The reported 2024 operating cash flow includes a $13.7 million deferred-tax adjustment and a $6.9 million decrease in accrued interest, among other working-capital movements.
Outlook, risks and unusual items
- The filing provides no numerical revenue or earnings guidance. Management said it plans to continue investing aggressively in marketplace improvements and expects R&D expense to increase in absolute dollars; sales and marketing spending may be adjusted with economic conditions and expected returns.
- Management characterized labor-market conditions as challenging and hiring demand as continuing to decline into Q1 2024. Results are seasonal and Q1 performance is not necessarily indicative of the full year.
- The company reported a $3.1 million income-tax expense despite a pretax loss; its effective tax rate was negative 92.3%. The filing attributes the rate primarily to state taxes, RSU-settlement tax effects, nondeductible expenses and R&D tax credits.
- Key disclosed risks include economic and hiring-market weakness, intense competition, employer renewals and spending, reliance on search and distribution partners, marketplace performance and cybersecurity, privacy and AI regulation, and operations in Israel. The company disclosed prior security incidents involving job-seeker information and client accounts.
- Legal matters arise in the ordinary course; the filing does not identify a specific material loss contingency or quantify a potential loss. Indemnification exposure is described as indeterminable, with no liability accrued because payment was not considered probable or reasonably estimable.
- Class B shares carry 20 votes per share; holders had approximately 85.5% of voting power at March 31, 2024. This concentrates control and limits other shareholders’ influence.
