Capricor Therapeutics Inc. (NASDAQ: CAPR ) faces heightened shareholder pressure as investment firm Kaos Capital Ltd. on Friday issued a formal letter requesting an immediate meeting with the board of directors to demand a comprehensive governance reset, aggressive cash preservation measures, and a strategic realignment.

Kaos Capital intends to nominate two independent director candidates and establish an M&A and Strategic Alternatives Committee chaired by a shareholder-backed director to steer the company away from relying solely on its lead asset, deramiocel .

Capricor Therapeutics’ Soaring Expenses Spark Cash Preservation Push

Kaos Capital highlighted significant spending concerns, noting that Capricor reported $237.9 million in cash, cash equivalents, and marketable securities as of June 30, 2026—marking an $80.2 million reduction from year-end 2025.

Total operating expenses reached $79.7 million during the first half of 2026, driven by $23.5 million in general and administrative expenses, which roughly doubled compared to the same period in 2025.

Consequently, the shareholder group urges the adoption of a formal Cash Preservation Plan, including a near-term freeze on nonessential spending and a zero-based review of administrative costs.
