Shares of ZIM Integrated Shipping Services Ltd. (NYSE: ZIM ) surged nearly 7% in premarket trading on Tuesday following news that Hapag-Lloyd and private equity fund FIMI are revising their $4.2 billion cash acquisition bid.

Addressing Security Concerns

According to Reuters, the original $35.00-per-share all-cash takeover encountered strong resistance inside Israel from ZIM workers, Defence Minister Israel Katz, and government officials. Opponents claimed the transaction risked national security by handing over critical maritime operations to a foreign enterprise.

Hapag-Lloyd has held several rounds of discussions with Israel’s economy, finance, and defence ministries “to revise structural elements of the proposed acquisition.”

“We are now developing an improved proposal designed to further strengthen Israel’s maritime security and independence,” said Hapag-Lloyd CEO Rolf Habben Jansen in a statement. He added that the revised proposal “will secure Israel’s access to key shipping routes, including routes from Asia.”

Benzinga has reached out to ZIM Integrated Shipping Services for comment on the revised acquisition terms and will update this article upon response.

Structural Revisions and ‘Golden Share’

Under the revised deal, Hapag-Lloyd aims to secure its position as the world’s fifth-largest shipping group , as per the company statement. Meanwhile, FIMI will take ownership of a dedicated company called ZIM Israel, carved out with 16 vessels to secure direct global maritime connections and assume full responsibility for Israel’s “golden share.”

To limit foreign influence, according to Reuters, Hapag-Lloyd proposed lowering the maximum single foreign investor shareholding threshold without government notification from 24% down to 10%. FIMI also committed not to list ZIM Israel’s shares on foreign stock exchanges.

“The agreement will also prevent any foreign interference in the transportation of Israel’s sensitive cargo, representing a significant improvement over the current arrangement,” Habben Jansen stated.

The revised proposal is scheduled for submission to Israel’s cabinet later this month.
