It conducts most development, manufacturing and services through ACM Shanghai in mainland China, in which ACM Research held an 82.1% interest at year-end.

Mainland China accounted for $541.0 million, approximately 97% of revenue.
Operating cash outflow reflected working-capital investment, notably increases of $164.0 million in inventories and $108.7 million in accounts receivable. Capital expenditures for property and equipment were $61.9 million. The company reported non-GAAP free cash flow of negative $144.7 million; its reconciliation also includes $7.5 million of long-term investment purchases. Year-end cash and time deposits exceeded borrowings, but funds held in mainland China are subject to transfer and distribution restrictions.
Material changes and unusual items
- Gross margin rose 2.3 percentage points, which management attributed to product mix, improved margins on certain products and favorable currency effects. Operating expenses rose 44.8%, including R&D expense growth of 49.0% and general and administrative expense growth of 80.9%.
- Net income included a $9.0 million realized gain and a $2.7 million unrealized loss on short-term investments, plus $10.0 million of equity-method investment income. Stock-based compensation increased to $27.3 million from $7.7 million.
- Three customers generated 45.5% of revenue: SMIC 16.7%, SiEn 15.4% and CXMT 13.4%. Four customers represented 59.1% of year-end receivables.
- ACM Shanghai paid a $22.2 million dividend to its shareholders, including ACM Research. ACM Research also disclosed a proposed ACM Shanghai private offering of up to 43.6 million shares, announced in January 2024; if completed in full, ACM Research estimated its ownership would fall from 82.1% to approximately 74.6%.
Outlook, risks and contingencies
- Outlook: The filing gives no company-specific revenue or earnings guidance. Management expects gross margin of 40%–45% for the foreseeable future and expects absolute R&D, sales and marketing, and general and administrative expenses to rise. Gartner forecasts the relevant equipment-market segments to contract 2.8% in 2024 and total wafer-fab equipment spending to contract 1.7%.
- Export controls: U.S. restrictions introduced in 2022 and expanded in 2023, together with Japanese and Dutch controls, affected shipments and sales in 2023. Management expects continued adverse effects on shipments, supply sourcing and customer spending.
- Lingang facility: The construction-completion milestone was missed on January 9, 2024. The company expects to meet the extended deadline before July 9, 2024, but cannot assure completion or refund of the related deposit. Production is due to begin by January 9, 2025; failure could trigger penalties and, in specified circumstances, loss of land-use rights. The company reported $30.9 million of open construction commitments and $7.4 million of additional capital-investment commitments at year-end.
- Other key risks: Customer concentration, semiconductor cyclicality, supplier dependencies, foreign-exchange exposure without hedging, mainland China regulatory and fund-transfer risks, and potential changes to audit-inspection access under the HFCA Act. ACM Research’s current auditor, Ernst & Young Hua Ming LLP, is headquartered in mainland China. The filing says the PCAOB’s prior adverse inspection determination was vacated, while future access remains uncertain.
- Audit and controls: Ernst & Young Hua Ming LLP issued an unqualified opinion on the 2023 financial statements and internal controls. Management reported that previously identified material weaknesses were remediated by year-end. Armanino resigned after deciding to exit public-company audit services; the filing reports no accounting disagreements.
- Contingencies: The company reported no outstanding material legal proceedings. It had accrued $9.8 million for warranty claims. The Lingang project milestone and investment covenants remain relevant potential exposures.
Investor facts to verify
- Whether the large working-capital build—particularly inventory and receivables—converts to customer acceptance, collections and operating cash flow.
- How export-control changes affect customer orders, component availability, shipment timing and margins.
- Progress against the Lingang construction and production deadlines, and any deposit refunds, penalties or covenant consequences.
- The terms, approval status and dilution effects of ACM Shanghai’s proposed share offering, including the resulting ownership and cash-access implications for ACM Research.
- Customer concentration and the recoverability of receivables; confirm the development of the credit-loss allowance, which reached $4.8 million.
- Continuing PCAOB inspection access and the implications of using a China-headquartered audit firm for U.S. listing compliance.
