At July 29, 2023, cash and cash equivalents were $1.149 billion, compared with $1.471 billion at October 29, 2022. Capital expenditures were $785.1 million during the first nine months. Management expects fiscal 2023 capital expenditures to be approximately 7% to 9% of revenue, primarily to expand internal manufacturing capacity.

The company currently expects quarterly dividends to continue, subject to Board approval and financial conditions.

Risks, Contingencies and Unusual Items
- Demand weakness affected consumer revenue, while communications revenue was affected by the timing of infrastructure deployment cycles.
- Lower factory utilization could pressure future gross margins if demand remains soft.
- Inventory increased materially, and days cost of sales in inventory rose to 137 from 107 at fiscal 2022 year-end.
- The company identified risks from semiconductor demand changes, supply and manufacturing disruptions, raw-material availability, geopolitical and economic uncertainty, tariffs and export controls, cybersecurity incidents, customer cancellations, and integration of Maxim.
- A discrete $81.1 million tax benefit in Q3 resulted from approval of a federal corporate income tax relief claim related to the Tax Cuts and Jobs Act. The Q3 effective tax rate was negative 0.3%.
- The appeal of a dismissed Delaware stockholder lawsuit related to the Maxim acquisition remains pending. ADI stated that it cannot currently estimate the potential loss, if any.
- Worldwide tax audits are ongoing. Gross unrealized tax benefits could decrease by approximately $133 million within the next twelve months, although the ultimate outcome is uncertain.
- ADI entered into interest-rate swaps converting the exposure on $1.0 billion of fixed-rate 2031 notes to floating-rate exposure through April 2031.
Investor Verification Items
- Verify the sustainability of industrial and automotive growth against continued weakness in consumer and communications markets.
- Monitor inventory levels, utilization rates and their effect on gross margin.
- Assess the returns and execution risks associated with elevated capital expenditures and internal manufacturing expansion.
- Review commercial-paper usage, upcoming 2024 and 2025 debt maturities, interest-rate exposure and liquidity.
- Separate recurring earnings from the $81.1 million discrete tax benefit, lower special charges and prior-year Maxim-related inventory adjustment.
- Track the Delaware appeal and ongoing tax audits for potential financial exposure.
- Confirm future dividend and repurchase decisions, which remain subject to Board discretion and business conditions.
