Business context and performance
ADP provides cloud-based human capital management technology and payroll and HR outsourcing services. Its reportable segments are Employer Services and PEO Services. Management highlighted continued investment in HCM products and generative AI capabilities, including the rollout of ADP Assist.

Nine-month organic constant-currency revenue growth was 6%. Client funds interest revenue was $320.8 million for the quarter and $747.9 million for the nine months, benefiting from higher average yields and client-funds balances. ADP’s U.S. pays-per-control metric rose 2% for the nine-month period; average PEO worksite employees also increased 2%.
Segments and material changes
- Employer Services: Revenue rose 8% for the quarter and nine months. Pretax earnings increased 14% and 15%, respectively; margins expanded to 39.6% for the quarter and 35.8% for the nine months.
- PEO Services: Revenue rose 5% for the quarter and 3% for the nine months, partly reflecting zero-margin benefits pass-throughs. Pretax earnings fell 10% and 4%, respectively; margins contracted to 14.2% and 15.2%. Lower workers’ compensation reserve benefits and higher expenses weighed on results.
- For the nine months, interest expense increased to $259.2 million from $146.4 million, primarily reflecting higher short-term borrowing rates and average borrowing volumes. Research and development expense rose 14%.
Cash flow, balance sheet and liquidity
- Nine-month operating cash flow was $2.857 billion, down from $3.022 billion. Investing cash outflow was $1.172 billion, versus $2.053 billion a year earlier. Financing cash inflow was $9.684 billion, driven substantially by timing-related increases in client funds obligations and $1.132 billion received from the IRS for amounts to be refunded to clients.
- At March 31, cash and cash equivalents were $3.292 billion; funds held for clients were $47.930 billion, against client funds obligations of $49.512 billion. These client-related balances reflect payroll and tax remittance activity and are not equivalent to unrestricted corporate liquidity.
- Long-term debt was $2.991 billion, consisting principally of $3.0 billion in fixed-rate notes maturing in 2025, 2028 and 2030. ADP had no commercial paper or reverse-repurchase obligations outstanding at quarter-end and no borrowings under its $9.7 billion committed credit facilities. A $4.25 billion facility matures in June 2024, with a one-year term-out option.
- ADP paid $1.608 billion in dividends and repurchased $796.2 million of shares during the nine months. Management said corporate liquidity was sufficient for foreseeable needs. Fiscal 2024 capital expenditures were expected to be $200 million–$225 million.
Outlook, risks and unusual items
The filing provides no specific full-year revenue or earnings guidance. Management cited client retention, new business, pricing, workforce growth and product investment as performance drivers. It also identified risks from competition, technology and AI change, cyber incidents, economic and employment conditions, interest rates, foreign exchange, regulation, credit and liquidity markets, and execution of transformation initiatives.
ADP’s client-funds investment portfolio is exposed to interest-rate, credit and liquidity risks. Management estimated that a hypothetical 25-basis-point change in short- and intermediate-term rates would affect pretax earnings by approximately $19 million over the following 12 months; a 25-basis-point short-term-only change would affect pretax earnings by approximately $9 million. Available-for-sale securities had $1.614 billion of gross unrealized losses at March 31, 2024, primarily associated with securities in a loss position for more than 12 months.
A putative ERISA class action concerning the ADP TotalSource Retirement Savings Plan remains pending; ADP said it cannot estimate a reasonably possible loss and is defending the matter. Management does not expect the resolution of other ordinary-course claims to materially affect results, financial condition or cash flows. ADP reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.
Important facts for investors to verify

- Whether PEO margins recover as workers’ compensation reserve estimates, pass-through costs and selling expenses evolve.
- How interest rates, portfolio reinvestment and any unrealized security losses affect client-funds income, liquidity and earnings.
- The timing and treatment of IRS funds received for client refunds, and the resulting effects on reported cash flows.
- Updates on the ERISA litigation, the June 2024 credit-facility maturity and actual fiscal 2024 capital expenditures.
