ATN International, Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. Financial statements are unaudited; comparisons are with Q1 2023 unless otherwise noted. ATN provides mobile, fixed, carrier and managed communications services in rural U.S. markets and Bermuda and the Caribbean.
Financial results and liquidity
- Revenue: $186.8 million, up 0.5% from $185.8 million. Communication services revenue was essentially flat at $181.3 million. Fixed revenue rose 1.2% to $119.2 million; carrier services fell 6.1% to $33.6 million, primarily due to delays in U.S. carrier projects.
- Operating performance: Operating income increased to $4.6 million from $0.6 million; operating margin was approximately 2.4%, versus 0.3%. Expenses declined 1.6% to $182.2 million, helped by lower depreciation, acquired-intangible amortization and restructuring costs.
- Net loss: Net loss was $7.9 million, compared with $7.1 million. Loss attributable to ATN stockholders was $6.3 million, or $0.50 per diluted share, versus $5.9 million, or $0.44 per share. Interest expense increased 30.8% to $11.5 million. Q1 2024 included $1.6 million of tax expense despite a pretax loss; the company cites valuation allowances, jurisdictional income mix, GILTI and uncertain tax positions.
- Segments: International Telecom revenue rose 3.0% to $93.1 million, while operating income declined 15.2% to $11.7 million. US Telecom revenue fell 1.8% to $93.7 million, but the segment swung to $0.6 million of operating income from a $4.3 million loss, reflecting cost reductions and lower depreciation.
- Cash flow and investment: Operating cash flow was $23.2 million, up from $16.0 million. Investing cash outflow was $35.7 million versus $52.8 million; financing provided $19.6 million. Cash capital expenditures were $36.0 million. Separately, segment disclosures report $49.5 million of network and systems capital expenditures, including amounts reimbursable under government programs. Cash, cash equivalents and restricted cash totaled $69.2 million at quarter-end.
- Debt and liquidity: Long-term debt, net of financing costs, was $541.3 million; the separate customer-receivable credit facility had $48.0 million outstanding. ATN reported $109.2 million available under its CoBank revolver, $35.0 million available under Alaska Communications’ revolver and $11.3 million under the receivables facility. ATN stated current cash and facility availability should meet working-capital and capital-expenditure needs for at least 12 months. It was in compliance with CoBank financial covenants at March 31.
- Dividends and repurchases: A $0.24-per-share dividend was declared for the quarter and paid April 5, 2024. The $25 million repurchase authorization had $24.9 million remaining at quarter-end; repurchases under the plan during Q1 were limited, with additional shares withheld for employee taxes.
Changes, outlook and material items
- Management expects 2024 network and systems investment of approximately $100–$110 million, net of reimbursable amounts. No consolidated revenue, profit or EBITDA guidance is provided in the supplied filing text.
- The FirstNet network build has generated $73.2 million of construction revenue to date, with approximately $9.0 million of additional construction revenue and related costs expected as sites are completed. ATN expects substantial completion by year-end 2024 and the remainder in early 2025; construction revenue is expected to have minimal operating-income impact.
- ATN’s FCC Replace and Remove project had incurred $80.7 million of costs and received $31.6 million of reimbursements by March 31, leaving $49.1 million pending reimbursement. The FCC extended the completion deadline to Q1 2025 in April 2024. ATN expects reimbursement of incurred amounts within 12 months and says it anticipates meeting program requirements.
- Government support is significant: reported Q1 revenue from listed support programs totaled $29.0 million. The Affordable Connectivity Program and Emergency Connectivity Fund were scheduled to expire in Q2 2024; legacy U.S. Virgin Islands high-cost support expires December 2025. CAF II support is scheduled at $27.7 million annually through December 2025, then $8.0 million annually through July 2028.
- On May 8, 2024, ATN entered an FCC consent decree regarding Alaska Communications’ Rural Health Care Program participation: a $6.3 million settlement ($5.3 million cash and $1.0 million receivable forgiveness) and a three-year compliance agreement. The settlement was accrued at March 31 and is not expected to affect future-period operating results.
- Restructuring expenses were $1.2 million in Q1 2024 versus $2.9 million in Q1 2023. Cumulative restructuring costs since Q1 2023 were $12.4 million, with $5.0 million accrued at quarter-end.
- Key risks cited include higher interest rates and debt-service costs, competition and subscriber retention, government-program availability and compliance, inflation and supply-chain delays, network investment and execution, natural disasters, and political and foreign-currency risks. A 100-basis-point rate increase on variable-rate debt was estimated to raise annual interest expense by $2.1 million. Several Guyana spectrum, interconnection and tax disputes remain unresolved; ATN says outcomes cannot currently be predicted for certain matters.
