Beneficient — FY2023 Form 10-K summary
Reporting period: Fiscal year ended March 31, 2023. Although the request specifies “2022 Q4,” this filing is an annual report for FY2023; the company changed its year-end from December 31 to March 31, so comparisons are not fully like-for-like. The filing also discusses the June 2023 business combination and other events after year-end.
Business context
Beneficient provides liquidity, fiduciary financing, custody and trust-administration services for holders of illiquid alternative assets. Its main product, the ExAlt Plan, uses loans to customer trusts secured primarily by cash flows from transferred fund interests. The company consolidates those trusts for financial reporting, although they are not owned by its equity holders. Consequently, consolidated revenue and profit include substantial trust investment gains and losses, while interest and fees earned by operating subsidiaries from the trusts are eliminated in consolidation but affect income allocated to Beneficient and BCH equity holders.
Financial performance and position
| Metric | FY ended March 31, 2023 | Comparable period / balance-sheet context |
|---|---|---|
| Consolidated revenue | $(104.9) million | $(13.7) million for the unaudited FY2022 comparison presented in MD&A |
| Operating loss | $(253.2) million | $(147.7) million for the unaudited FY2022 comparison |
| Net loss | $(252.1) million | $(183.1) million for the unaudited FY2022 comparison; the audited three-month transition-period net loss was $(100.9) million |
| Operating cash flow | $(95.1) million | Cash used in operations increased from $(50.6) million in the unaudited FY2022 comparison |
| Investing cash flow | $63.0 million provided | Primarily distributions from alternative-asset investments |
| Financing cash flow | $(34.5) million used | Primarily debt payments, preferred-equity redemptions and deferred equity costs |
| Cash and restricted cash | $8.7 million unrestricted; $0.8 million restricted | Unrestricted cash was $70.6 million at March 31, 2022 |
| Debt and trust loan payable | $99.3 million related-party debt; $52.1 million net Customer ExAlt Trust loan payable | Total liabilities were $231.8 million |
| ExAlt loan portfolio | $495.9 million gross; $129.1 million allowance; $366.8 million net | Allowance was 26.0% of gross loans; 37.0% of loans were classified as nonperforming |
| Investments held by Customer ExAlt Trusts | $491.9 million fair value | Included $385.9 million in alternative assets and $106.0 million in debt and equity securities |
Consolidated revenue was negative primarily because of fair-value declines: alternative-asset investment loss was $54.0 million and loss on financial instruments was $51.4 million. The latter included a $63.5 million decline in related-party equity securities, principally affected by GWG Holdings’ bankruptcy. Ben Liquidity separately recorded $50.8 million of interest income and Ben Custody $29.0 million of trust-services revenue, but these intercompany amounts are eliminated in consolidation. The company’s stated non-GAAP adjusted revenue was $(41.4) million and adjusted operating loss was $(143.9) million; management cautions these measures are not substitutes for GAAP results.
Margins are not meaningfully comparable because consolidated revenue is dominated by trust investment valuation changes and includes eliminations. Cash used in operating activities reflected working-capital needs, professional services, employee costs and interest. Investing cash inflow included $72.6 million of returns of alternative-asset investments. The loan portfolio allowance rose from $48.4 million a year earlier, primarily due to deterioration in GWG-related collateral and other collateral values.
Material changes and notable events
- Compared with the unaudited FY2022 comparison, FY2023 investment and financial-instrument losses deepened, the operating loss widened, and the net loss increased. Professional-services expense rose to $38.4 million, including higher legal and other professional costs.
- Cash and cash equivalents fell substantially, while loan risk metrics deteriorated: nonperforming loans rose to 37.0% of the portfolio from 5.2% at March 31, 2022.
- GWG Holdings filed for Chapter 11 in 2022. As of March 31, 2023, the trusts held GWG common stock and $94.8 million principal amount of L Bonds; the filing reports significant recognized losses and a $94.9 million allowance on loans collateralized by these securities.
- After year-end, Beneficient completed its de-SPAC business combination and began Nasdaq trading on June 8, 2023. The filing reports only $1.8 million of net proceeds from the Avalon trust account after transaction expenses. A separate $250 million standby equity purchase agreement with Yorkville provides a potential funding source, not guaranteed proceeds; the agreement is subject to conditions and would dilute shareholders if used.
- On July 12, 2023, related-party lender HCLP extended first- and second-lien maturities to September 2024 and September 2027, respectively, set interest at 9.5%, and deferred second-lien payments until the first lien is repaid. The first lien requires quarterly $5 million installments, subject to a going-concern condition.
- On July 11, 2023, the company announced cost reductions, including furloughing about 30 employees (approximately 20% of its workforce), reducing vendor spending and deferring certain director, CEO and interest payments.
Outlook, risks and contingencies
Management says it expects resources to fund operations for at least 12 months, relying on anticipated operating cash flows, loan repayments and fees, refinancing, cost reductions and additional financing. The audited notes state that low cash, recurring losses and other conditions raised substantial doubt about the company’s ability to continue as a going concern; management’s plan depends on financing and operating assumptions that may not be achieved. At May 31, 2023, unrestricted cash was approximately $3.5 million.
Key risks include delayed or reduced distributions from illiquid funds, uncertain collateral valuations and loan recoveries, concentrated exposure to GWG-related securities, limited access to capital, dilution from equity issuance, regulatory uncertainty around the Kansas TEFFI structure, and the company’s limited operating history. Approximately $61.1 million of potential gross capital commitments remained at March 31, 2023; Beneficient may need to lend funds to trusts if they cannot meet capital calls. Management expected a CECL adoption adjustment of approximately $61.1 million as of April 1, 2023, including additional loan-loss and unfunded-commitment reserves.
Legal and regulatory matters are material. PCA’s litigation could seek up to $350 million plus costs, although Beneficient disputes the claims and the outcome is uncertain. A former director’s arbitration seeks $36.3 million plus fees and punitive damages. The GWG plan was confirmed in June 2023, but potential estate claims against Beneficient were assigned to a litigation trust and may still be pursued. On June 29, 2023, the company received an SEC Wells Notice concerning its association with GWG; a Wells Notice is not a finding of wrongdoing, and the company says it intends to contest the matter. The filing also warns that post-listing share-price weakness could require an impairment assessment of goodwill and intangible assets; no impairment was recorded for FY2023.
No specific revenue or earnings guidance is provided. Management’s outlook depends on scaling liquidity transactions, attracting customers, maintaining collateral performance and obtaining capital. The company reported goodwill of $2.37 billion, a substantial estimate-sensitive asset; the filing’s valuation analysis found no impairment at March 31, 2023.
