Net sales included $3.8 million from EQT, acquired in October 2023. Systems sales were $37.3 million versus $103.0 million; non-systems sales were $70.3 million versus $76.4 million. Research and development expense was $22.3 million; selling, general and administrative expense was $35.1 million. Both expenses consumed a larger share of sales as revenue fell. The income tax benefit was $1.7 million. The filing does not provide a clear non-GAAP profit measure.

Cash and cash equivalents were $191.1 million at quarter end, down from $245.5 million at year end. Investing activities provided $6.8 million, including net proceeds from investment sales and maturities; financing activities used $44.4 million. The company repaid its remaining $29.3 million term-loan balance in February and repurchased 333,504 shares for approximately $10.7 million. Remaining debt primarily comprised Japanese term loans, German construction loans and Japanese lines of credit.

Material changes and unusual items

  • Management attributed lower sales mainly to weaker demand in automotive, industrial, mobile, including 5G-related products, and computing applications amid macroeconomic pressures and customers delaying capacity spending.
  • Lower production volume reduced fixed-cost absorption and contributed to gross-margin compression. Inventory-related charges were $1.7 million, compared with $1.9 million a year earlier.
  • Q1 2024 SG&A included $1.7 million of severance costs associated with manufacturing transitions, a $1.0 million impairment of an equity investment, $0.9 million of incremental EQT costs and $0.2 million of acquisition transaction costs. Intangible-asset amortization rose to $9.8 million from $8.8 million, partly reflecting EQT.
  • The term-loan payoff reduced quarterly interest expense to $0.3 million from $1.1 million; Cohu recorded a $0.2 million loss on extinguishment of debt.
  • Foreign currency translation reduced equity by $9.4 million during the quarter. Foreign-exchange forward contracts generated a reported $4.1 million loss, while the income statement showed a $0.5 million foreign transaction loss; the filing describes the contracts as offsetting exposures and not designated accounting hedges.
  • EQT’s purchase-price allocation remained preliminary, with finalization expected in Q2 2024. Cohu reported no first-quarter impairment indicators for goodwill or other intangible assets.

Outlook, risks and contingencies

Management gave no numerical quarterly or full-year guidance in the supplied filing text. It said current liquidity should meet anticipated cash needs for at least 12 months, while noting that lower product demand could weaken liquidity and that future acquisitions or higher capital spending could require additional financing. Management cited AI-related semiconductor use, new-product customer traction and long-term industry drivers as reasons for optimism, while acknowledging continued customer cost cutting and delayed capital expenditures.

Key risks include cyclical and volatile semiconductor-equipment demand, customer concentration, inventory obsolescence or price reductions, customer credit and acceptance-related revenue timing, foreign-exchange exposure, and the possibility that future impairment or tax estimates change. One customer represented 10% of sales in Q1 2024, versus two customers representing 24% in the prior-year quarter. Tax authorities were examining Cohu in Germany, the Philippines, Malaysia, Singapore and Thailand; management said it believes tax accruals are appropriate. Ordinary-course legal matters were disclosed, with no current expectation of a material adverse effect. The filing reported no material changes to previously disclosed risk factors.

Important facts for investors to verify

  • Whether sales and margins stabilize as demand in automotive, industrial, mobile and computing markets evolves, and whether management’s AI and new-product optimism translates into orders.
  • Inventory quality, customer forecasts and potential further reserves, given weaker volume and the risk of excess or obsolete stock.
  • Cash use and liquidity after debt repayment and share repurchases, including the $153.8 million of cash held by foreign subsidiaries and possible repatriation taxes.
  • Final EQT purchase accounting and whether the reported one-time severance and investment impairment affect subsequent periods.
  • Progress and outcomes of the disclosed tax examinations, and the continuing U.S. deferred-tax-asset valuation allowance.
