Revenue grew 25.8%. IoT Products & Services revenue increased 12.7% to $297.6 million; IoT Solutions revenue rose 103.7% to $90.6 million, primarily reflecting Ventus. Ventus contributed $54.3 million of FY2022 revenue. Product revenue was $290.2 million and service revenue was $98.1 million. The filing reports year-end ARR above $94 million, up 149%, including over $80 million for IoT Solutions and over $14 million for IoT Products & Services. ARR is a management metric, not a substitute for revenue.

Liquidity, debt and material changes

Cash and cash equivalents were $34.9 million at year-end, down from $152.4 million. Operating cash flow declined $20.0 million, with working-capital changes including a $41.4 million increase in inventory contributing to the decrease. Investing cash use was $349.5 million, principally reflecting the Ventus acquisition. The company reported positive operating cash flow and expects cash, operating cash generation and borrowing availability to fund operations and capital expenditures for at least the next twelve months.

Gross term-loan principal was $250 million at September 30, 2022; the balance-sheet carrying amount of total debt was $238.0 million after unamortized issuance costs. The $35 million revolving facility was undrawn, and $35 million remained available, subject to facility terms. Digi made $100 million of early term-loan repayments during FY2022. The weighted-average interest rate was 6.85%; interest expense increased to $19.7 million from $1.4 million. Debt is secured by substantially all company assets, and Digi reported compliance with its financial covenants at year-end.

Current assets were $166.2 million and current liabilities were $96.5 million. Inventory increased to $73.2 million from $43.9 million amid efforts to secure components and mitigate supply constraints. Ventus drove a substantial increase in goodwill and identifiable intangible assets; year-end goodwill was $340.5 million and net identifiable intangibles were $302.1 million.

Outlook, risks and unusual items

Management sees long-term IoT market expansion and expects more modest growth from IoT Products & Services and stronger growth potential from IoT Solutions. It expects subscription revenue to support gross-margin improvement over time. However, management cautioned that FY2023 results could be inconsistent because of recession concerns, supply-chain disruption and uncertainty around large project deployments; the filing provides no specific FY2023 revenue or earnings guidance.

  • Supply shortages, freight delays, inflation and higher component and transportation costs constrained product availability and increased costs. Management said it could not predict the duration or ultimate financial effect.
  • IoT Products & Services margin declined 90 basis points, reflecting supply-chain costs and product/customer mix. IoT Solutions margin improved 1,210 basis points, largely from higher-margin recurring Ventus subscriptions.
  • Ventus was acquired for approximately $350 million in cash and financed with cash and debt. FY2022 included $4.4 million of acquisition costs; increased interest and amortization also affected GAAP results.
  • Management’s annual goodwill test found fair value above carrying value for all reporting units, but the cushion for SmartSense and Ventus was less than 10%. No goodwill impairment was recorded.
  • Other material risks include competition and technology obsolescence, reliance on third-party manufacturers and channel partners, cybersecurity and privacy exposure, customer concentration in certain acquired businesses, and possible tax or litigation outcomes.

The auditor issued an unqualified opinion on the financial statements and internal control over financial reporting; no critical audit matters were identified. Management and the auditor excluded Ventus from the FY2022 internal-control assessment; Ventus represented 41% of consolidated assets and 14% of revenue.

Important facts for investors to verify

  • How much future growth is organic versus attributable to Ventus, and whether IoT Solutions can achieve positive segment operating income.
  • Whether elevated inventory converts to sales and cash, and whether supply constraints or obsolescence cause further costs or write-downs.
  • Debt repayment capacity, interest-rate exposure, covenant headroom and the effect of financing costs on earnings and cash flow.
  • Whether recurring-revenue growth supports margins after acquisition amortization and other costs; assess adjusted results alongside GAAP results.
  • Goodwill valuation assumptions and the limited headroom disclosed for SmartSense and Ventus.
  • Progress integrating Ventus controls into the company’s internal-control assessment, as well as developments in the disclosed legal and tax contingencies.
