Material changes versus the prior year

  • Revenue grew 39%, primarily from new and existing subscription customers; FY2020 also included a full year of SpringCM revenue following its September 2018 acquisition.
  • GAAP gross margin improved by 2 percentage points to 75%. Subscription gross margin remained 82%; professional-services gross margin improved but remained negative at -43%.
  • Operating loss narrowed substantially. Comparisons were affected by FY2019’s $262.8 million IPO-triggered cumulative stock-based compensation charge; total stock-based compensation fell to $206.4 million from $411.0 million in FY2019.
  • Operating cash flow rose to $115.7 million, while free cash flow declined slightly to $43.7 million as capital expenditures more than doubled. Cash and investments totaled $895.9 million, down from $933.2 million.
  • Current and noncurrent operating lease liabilities were recognized after adoption of the new lease standard; the company reported no material impact on its statements of operations or cash flows.

Outlook, risks and contingencies

  • Management expects continued investment in sales and marketing, product development, infrastructure and international expansion, and expects operating losses to continue for the foreseeable future. It stated that available cash and investments should cover working-capital and capital-expenditure needs for at least 12 months.
  • COVID-19 was identified as a material uncertainty: management described remote-work and event changes and warned that disruption, economic uncertainty and reduced technology spending could harm demand and operations. The filing did not provide quantified COVID-19 guidance.
  • On February 26, 2020, DocuSign agreed to acquire Seal Software for approximately $188 million in cash, subject to adjustments and closing conditions; closing was expected in the first half of fiscal 2021.
  • Key risks include continued losses, reliance on e-signature subscriptions, intense competition, customer renewals and expansion, service availability and cybersecurity, privacy and regulatory compliance, and execution of acquisitions. The company also highlighted risks relating to its convertible notes, including possible cash settlement, refinancing and dilution exposure.
  • The filing reported no legal proceedings expected to have a material adverse effect. The auditor gave unqualified opinions on the financial statements and internal control over financial reporting; the auditor identified revenue-contract terms and conditions as a critical audit matter.

Important facts for investors to verify

  • Whether revenue growth and customer expansion persist, and whether Agreement Cloud products beyond e-signature become a larger revenue source.
  • How much of the improvement in GAAP losses reflects recurring operating progress versus the lower year-over-year stock-based compensation charge; review dilution and remaining unrecognized equity compensation.
  • Whether operating cash flow converts sustainably into free cash flow, given higher capital spending, contract-acquisition costs and receivables growth.
  • The cash, dilution and integration implications of the Seal Software acquisition, and the repayment or conversion terms of the $575 million notes.
  • The impact of COVID-19 and evolving privacy, cybersecurity and electronic-signature requirements on demand, costs and customer retention.
