Datasea Intelligent Technology Ltd. annual report, Q4 FY2026

Datasea Intelligent Technology Ltd. — FY2026 Form 20-F

Reporting period: Fiscal year ended June 30, 2026. The audited consolidated financial statements are prepared under U.S. GAAP. The filing was signed October 2, 2026.

Business context

Datasea is a British Virgin Islands holding company whose substantial China operations are conducted through subsidiaries and Shuhai Beijing, a variable interest entity (VIE) controlled through contracts rather than equity ownership. The company completed its redomiciliation from Nevada to the BVI on April 15, 2026. Its two main businesses are AI multimodal digitalization and AI-agent services, and acoustic-intelligence products, including healthcare products and NeuroVibe. Revenue and substantially all assets were in China.

Management is shifting away from standardized, lower-margin digital services toward customized solutions, acoustic products and AI agents. The newer businesses remain at early stages of commercialization; AI services remained the largest revenue source in FY2026.

Financial results and liquidity

MetricFY2026FY2025
Revenue$40.70 million$71.62 million
Gross profit / margin$4.16 million / 10.21%$2.44 million / 3.41%
Operating expenses$6.46 million$7.60 million
Research and development$2.57 million$0.91 million
Operating loss$(2.30) million$(5.15) million
Net loss attributable to the Company$(2.19) million$(5.09) million
Net cash from (used in) operating activities$1.98 million$(2.37) million
  • Revenue fell 43.17%, chiefly because the company reduced standardized AI multimodal communication activity. That category declined from about $69.44 million to $36.27 million. Management said pricing changes were not a material factor.
  • Cost of revenue fell faster than revenue, and gross profit increased 70.09%; gross margin improved by 6.80 percentage points. Management attributed this to a changed mix, including customized solutions. Operating expenses declined about 15%, while R&D increased about 180%.
  • Cash and restricted cash totaled $607,922 at year-end: $431,246 cash and $176,676 restricted cash. Accounts receivable was $946,891, down about 31% year over year.
  • Current assets were $3.27 million and current liabilities $7.47 million; working capital was negative approximately $4.20 million and the current ratio was 0.44. Accumulated deficit was $46.71 million.
  • Bank borrowings were $5.58 million, up from $2.37 million, and classified as current liabilities. FY2026 financing cash flow was $3.04 million, including $6.00 million of loan proceeds and $3.00 million of loan repayments. Cash used in investing was $4.93 million, principally for intangible assets.
  • Intangible assets, net, rose to $11.25 million from $3.50 million. The filing estimates FY2027 amortization of approximately $3.01 million and identifies impairment assessment as a critical audit matter.

Outlook, developments and key risks

  • Going concern: The auditor and management report substantial doubt about the company’s ability to continue as a going concern. The auditor said management’s plans had not alleviated that doubt. Management expects additional external financing may be necessary in FY2027 but does not estimate its amount or timing. Plans include improving collections, controlling discretionary spending, renewing or replacing bank facilities, and seeking debt, equity or related-party financing.
  • Commercialization: NeuroVibe NV-02 and NV-03 were developed during FY2026. After year-end, the company reported FDA establishment registration and device listing; it expressly states these are not FDA approval, clearance, certification or endorsement. China pre-sale agreements for NV-02 were also signed after year-end. Their value is not recognized or guaranteed revenue and depends on manufacturing, delivery, acceptance and settlement.
  • AI services: After year-end, the company entered AI-agent cooperation arrangements and usage-based service agreements. Stated usage ranges and pre-orders are not minimum commitments, guaranteed revenue, recognized revenue or backlog; actual revenue depends on customer onboarding, usage, service delivery and payment.
  • Listing: Nasdaq granted an additional minimum-bid-price compliance period through March 22, 2027, following the initial period ending September 23, 2026. The company gives no assurance it will regain compliance.
  • Controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at June 30, 2026. Material weaknesses include inadequate segregation of duties, shortcomings in control testing and monitoring, and limited in-house U.S. GAAP and SEC-reporting expertise.
  • Structural and regulatory risks: Investors own the BVI parent, not the PRC VIE. VIE contractual rights have not been tested in a PRC court and could be challenged or restricted. The company also cites PRC data, privacy, cybersecurity, foreign-exchange and cross-border-transfer risks; U.S.-China tensions; supplier dependence; and product, medical-device and AI regulatory risks.
  • Governance and distributions: Class B shares carry 50 votes each. Zhixin Liu and Fu Liu together control approximately 95.29% of voting power, according to the filing. No dividends were paid, and the company does not expect cash dividends in the foreseeable future. Certain bank borrowings rely on personal guarantees from controlling shareholders.
  • Other items: The company acquired substantial technology and software assets, including transactions paid for with shares and acquisitions from related parties. It reported no pending material legal proceedings or known material off-balance-sheet arrangements. The VIE and PRC subsidiaries had not transferred profits to the offshore parent as of year-end.

Most important facts for investors to verify

  • Share counts conflict: The cover reports 9,950,773 Class A shares outstanding at June 30, 2026, while the audited balance sheet reports 12,263,177 Class A shares at that date. The filing separately reports 12,737,285 Class A shares as of the annual-report date. Reconcile these figures and associated share issuances/dilution.
  • NeuroVibe contract values conflict: The filing gives different aggregate values for the two post-year-end agreements—approximately $3.54 million, $3.64 million and $3.69 million in different sections. Confirm the executed contracts, tax treatment, delivery terms and customer acceptance conditions.
  • Cash-flow and loss descriptions vary: The audited cash-flow statement reports FY2026 operating cash flow of $1.976 million, while narrative sections cite approximately $2.03 million. Some audit and narrative passages also use net-loss amounts that differ from the audited attributable net loss of $2.186 million. Reconcile the measures and definitions.
  • Debt and liquidity: Confirm current outstanding balances, maturities, renewal status and guarantee terms for the $5.58 million of bank borrowings, especially facilities requiring shareholder guarantees, and assess near-term cash needs against the working-capital deficit.
  • Asset value and financing: Verify the nature, ownership, valuation, related-party aspects and commercial contribution of acquired intangible assets, as well as the basis for future amortization and impairment assumptions. Assess prospective dilution or leverage from expected FY2027 financing.
  • Post-year-end disclosures: The financial-statement subsequent-events note says there were no events requiring disclosure, while the report describes later NeuroVibe contracts, AI agreements and Nasdaq developments. Confirm the applicable dates, accounting treatment and completeness of subsequent-event disclosure.
