Service revenue grew 1% to $53.5 million, while equipment sales fell 47% to $3.0 million. Wholesale capacity revenue rose to $31.6 million from $30.4 million and represented 56% of total revenue. Commercial IoT revenue increased 24% to $6.4 million; Duplex and SPOT revenue declined. Operating expenses rose 19% to $61.2 million. No gross margin figure is presented in the filing.

At March 31, 2024, current assets were $136.0 million and current liabilities were $135.7 million. Debt principal was $434.5 million, versus $398.7 million at year-end 2023; its balance-sheet carrying value was $398.7 million. The quarter’s debt increase reflected $37.7 million drawn under the 2023 Funding Agreement and $6.7 million of PIK interest on the 13% Notes, partly offset by $8.7 million recouped under the 2021 Funding Agreement. Cash used by investing activities exceeded operating cash flow by approximately $24.4 million.

Changes and management commentary

  • Net loss widened as operating results moved from income to loss, interest expense increased, and foreign currency results shifted from a $1.9 million gain to a $3.8 million loss. Q1 2023 also included a $10.4 million debt-extinguishment loss, which did not recur.
  • Operating costs increased, including cost of services, which rose $4.9 million amid network expansion, and stock-based compensation, which rose $5.5 million, mainly due to executive awards connected with the XCOM license agreement.
  • Operating cash flow improved, partly due to working-capital timing under the Service Agreements. Investing outflows decreased primarily because payments to MDA were lower than in Q1 2023.
  • Average subscribers increased to 782,126 from 765,160, with Commercial IoT growth offsetting declines in Duplex and SPOT. Commercial IoT devices on the network were up 9% over the prior twelve months.

Outlook, commitments, and risks

  • Management says cash, operating cash flows, and Funding Agreement proceeds are expected to meet operating, capital expenditure, and financing needs. The filing provides no quantitative earnings or revenue guidance.
  • Globalstar expects to acquire at least 17 and up to 26 satellites under its $329.5 million MDA agreement, with initial delivery expected in 2025. SpaceX launch services provide a launch window from April through September 2025. The company expects Service Agreement payments equal to 95% of approved capital expenditures, subject to terms, beginning in the Phase 2 Service Period.
  • The 2023 Funding Agreement permits up to $252 million and is intended to fund 50% of satellite, launch, insurance, and related costs. Repayment, including fees, is expected to be recouped through Service Agreement payments beginning no later than Q3 2025. The funding is secured by a first-priority lien on substantially all company and domestic subsidiary assets.
  • The $200 million 2023 Notes bear 13% interest, split under the Service Agreements between 6.5% cash and 6.5% PIK interest, and mature in September 2029. Series A preferred dividends are cumulative at 7%; $2.6 million was paid in Q1.
  • A government-services proof-of-concept began in February 2024: its one-year phase is valued at $2.5 million and management said it was progressing as planned. If implemented, the five-year agreement includes annual minimum revenue commitments rising to $20 million in year five, plus potential revenue-share upside; these amounts are conditional, not assured.
  • Key exposures include reliance on wholesale capacity customers (56% of revenue came from wholesale capacity customers), satellite delivery and launch execution, regulatory and licensing requirements, foreign currency movements, and debt and funding covenants. The company reported no material change to its previously disclosed risk factors, no material off-balance-sheet transactions, and no legal proceedings.

Important facts for investors to verify

  • Progress, cost, delivery timing, licensing, and launch readiness for the MDA satellites and SpaceX launch window.
  • Amounts and timing of Service Agreement receipts, funding draws, and recoupments, including the start and duration of 2023 Funding Agreement repayment.
  • Wholesale customer concentration and the continuation and economics of the Service Agreements.
  • Debt principal, cash and PIK interest burden, preferred dividends, secured covenants, and available liquidity as capital spending continues.
  • Whether the government proof-of-concept converts to implementation and the conditional future revenue commitments are achieved.
