- Video revenue fell 14% to $326.8 million; Cable Edge revenue rose 34% to $106.8 million. Segment operating income was $18.1 million for Video and $1.2 million for Cable Edge.
- FY 2014 cash flow from investing activities was positive $27.8 million; financing activities used $92.0 million, primarily reflecting $93.1 million of share repurchases.
- The company reported no borrowings at year-end. Its new revolving credit facility provides up to $20 million and was fully available; covenants require at least $35 million of cash and marketable securities and $20 million of rolling four-quarter EBITDA. The company reported compliance at year-end.
Fourth quarter
Q4 2014 revenue was $107.9 million, gross profit was $56.8 million, and net loss was $4.9 million, or $0.06 per share. Q4 2013 revenue was $120.2 million and gross profit was $59.6 million; net loss was $2.4 million, including discontinued operations.
Changes and notable items
- Revenue declined 6% year over year. Management attributed the decrease to a 22% fall in EMEA revenue amid economic and geopolitical challenges, and customer delays ahead of Ultra HD, HEVC and the new VOS software platform. Cable Edge growth partly offset the decline.
- Gross margin improved to 49.0%, despite a mix shift toward lower-margin Cable Edge products, which management attributed to several high-value transactions, more software-rich sales and lower amortization expense.
- FY 2014 net loss was heavily affected by a $24.5 million income-tax provision despite a pretax loss. The company recorded a net $29.0 million increase in its deferred-tax valuation allowance, partly offset by a $9.0 million tax-reserve release. By comparison, 2013 net income benefited from a $39.0 million tax-reserve release and a $14.7 million after-tax gain on the sale of the HFC business.
- Restructuring and asset-impairment charges totaled $3.1 million in 2014, including a $1.1 million impairment of software-development costs for a discontinued IT project. A new plan initiated in Q4 included workforce reductions and other cost measures, with completion expected by the end of 2015.
- The company repurchased 13.9 million shares in 2014. At year-end, $68.7 million remained under its $300 million authorization, which extends through 2016.
Outlook, risks and contingencies
- No quantified revenue or earnings guidance is provided. Management said customer project delays related to technology transitions could continue, to varying degrees, for several quarters. It believes existing liquidity and expected operating cash generation are adequate for at least 12 months.
- Key risks include customer capital-spending decisions, customer concentration (Comcast contributed 16% of 2014 revenue), industry consolidation, pricing pressure, product-development and technology-transition execution, and reliance on a primary contract manufacturer and limited-source components.
- International exposure is significant: customers outside the U.S. generated 52% of revenue. Management cited economic, currency and geopolitical risks, including conditions in Russia, Ukraine, the Middle East and Africa.
- Avid litigation remains unresolved: Harmonic prevailed in one MediaGrid patent case, but Avid appealed; a separate Spectrum patent dispute and appeal concerning certain patent claims remained pending. The filing does not provide a clear estimate of potential losses.
- Auditor PwC gave unqualified opinions on the financial statements and internal control over financial reporting; management also reported effective disclosure controls and internal control.
Important facts for investors to verify
- Whether customer spending resumes and delayed Video projects convert to revenue, particularly as VOS, Ultra HD and HEVC products gain adoption.
- Whether Cable Edge growth and margins can be sustained, and whether new CCAP products deliver the expected sales and offset potential declines in legacy products.
- The quality and sustainability of operating cash flow, the reduced liquidity balance, and the effect of further share repurchases on cash and covenant headroom.
- The recoverability of deferred tax assets and the effect of future valuation-allowance changes, tax examinations and reserve adjustments on reported earnings.
- Developments in the Avid cases and any resulting damages, royalties, injunctions or restrictions on product sales.
