Advisory fees rose 23.1% to $9.473 million; shareholder service fees rose 14.5% to $261,000. Operating expenses increased 23.2% to $5.972 million. General and administrative expense rose 31.9%, and mutual fund distribution expense rose 50.4%, reflecting increased marketing, sales, platform activity, and assets held on platforms. Management said platform-sourced assets are less profitable because of participation fees. The effective tax rate was 40.9%, versus 48.5% a year earlier; the earlier period included a one-time tax charge related to nondeductible compensation.

Quarter-end cash and cash equivalents were $8.108 million, versus $7.645 million at September 30, 2014. Current assets were $12.500 million and current liabilities $6.297 million. Total debt was approximately $25.8 million, including $3.75 million current and $22.034 million long-term. The secured U.S. Bank loan bears interest at prime plus 0.75% (4.00% at the filing date), requires monthly principal payments of $312,500, and matures October 26, 2017. The company reported compliance with loan covenants and said debt was sufficient for the next 12 months of operations.

Cash increased $463,000 during the quarter. Investing cash use was $32,000, compared with $19.193 million in the prior-year quarter, which included a payment related to the FBR Funds management-contract acquisition. Financing cash use was $1.239 million, including $938,000 of principal payments and $301,000 of dividends. A quarterly dividend of $0.05 per share was paid.

Material changes and operating trends

Year-over-year AUM growth reflected $775 million of net purchases and $685 million of market and investment appreciation. For the current quarter, AUM increased by $419 million, comprising $339 million of market appreciation and $80 million of net inflows. Monthly redemptions as a share of AUM averaged 2.4%, up from 1.9% in the comparable quarter. Management cited strong market appreciation and net inflows as drivers of higher fee revenue and cash generation.

Outlook, risks, and unusual items

The filing provides no quantified earnings or revenue guidance. Management expressed a positive view of U.S. market and economic momentum and said it expected moderate, reasonable long-term returns, while acknowledging possible short-term volatility. It said recent inflows may indicate investors are returning to equities, but future results depend on market performance and investor flows.

  • Revenue and liquidity depend substantially on AUM, which can change with market movements, fund performance, purchases, and redemptions.
  • Management identified competition, regulation, economic and financial conditions, interest-rate movements, and the ability to retain managed fund assets as risks; regulatory developments may increase compliance costs.
  • Management contracts, carried at $62.489 million, are treated as indefinite-lived intangible assets. The company reported no impairment indicators at December 31, 2014; contract renewal and termination provisions remain relevant.
  • Contractual expense-ratio limitations resulted in a net $13,725 of waivers during the quarter; certain limitations were scheduled to expire February 28, 2015.
  • The company reported no material lease changes affecting future minimum payments. Its principal office lease expires in March 2017, with a five-year extension option.

Investor verification priorities

  • Track AUM, net flows, market-driven changes, and the increase in redemptions, including concentration in the largest funds.
  • Assess whether revenue growth can outpace rising distribution, marketing, and other operating costs, particularly on platform-held assets.
  • Review debt amortization, interest-rate exposure, covenant compliance, and cash available after debt service and dividends.
  • Confirm the renewal status of expense-ratio limitations scheduled to expire February 28, 2015 and their potential effect on fees and margins.
  • Monitor management-contract renewal and termination conditions and future impairment assessments of the $62.5 million carrying value.
