Current assets were $29.500 billion and current liabilities were $17.421 billion. Intel reported sufficient financial resources for its expected business requirements over the next 12 months. It paid $5.072 billion in dividends and repurchased $3.615 billion of stock during 2017.

Material changes and business trends

  • Revenue increased 6% as reported; excluding the effect of the ISecG divestiture, management reported growth of 9%. Data-centric businesses collectively grew 16% on that adjusted basis. A change to the Intel Inside program reduced reported 2017 revenue by approximately $500 million versus the prior classification.
  • CCG revenue was $34.003 billion and operating income $12.919 billion. DCG revenue was $19.064 billion and operating income $8.395 billion. NSG revenue rose to $3.520 billion, but it recorded a $260 million operating loss. PSG revenue was $1.902 billion and operating income $458 million.
  • Operating income rose substantially, helped by higher revenue, lower unit costs, and lower restructuring charges. Net income fell despite higher operating income, chiefly reflecting the sharply higher tax provision.
  • Intel acquired 97.3% of Mobileye for $14.5 billion net cash consideration and recorded approximately $10.3 billion of goodwill. It divested ISecG for total consideration of $4.2 billion, retaining a 49% interest in McAfee.
  • Intel recognized $2.651 billion of net gains on equity investments, including gains from sales of ASML shares, partly offset by $833 million of impairment charges and equity-method losses.

Outlook, unusual items, and risks

  • The 2017 effective tax rate was 52.8%, including a provisional $5.4 billion net income tax expense related to U.S. Tax Reform. This included a $6.1 billion transition-tax expense, partly offset by a $676 million deferred-tax remeasurement benefit. Intel expected the new law to significantly reduce its effective tax rate beginning in 2018; estimates remained provisional.
  • Management expected NSG to be profitable for full-year 2018 and moved its target for combined R&D and marketing, general and administrative expense to 30% of revenue forward to 2019.
  • Intel began shipping products using its 10nm process in Q4 2017, while continuing the 10nm ramp and development of 7nm. Factory start-up costs and initial 10nm product charges weighed on gross margin.
  • Management identified demand variability, intense competition, manufacturing-node execution and yield, customer and supplier concentration, and global operational risks as potential material risks. Three largest customers accounted for 40% of 2017 revenue; sales outside the U.S. were approximately 83% of revenue.
  • Intel disclosed Spectre and Meltdown vulnerabilities and related lawsuits and investigations. As of the filing, the company did not expect a material financial impact but could not estimate potential losses. The filing also describes ongoing antitrust, shareholder, and other legal proceedings; outcomes remain uncertain.
  • Contractual obligations totaled $65.947 billion, including $12.068 billion of capital purchase obligations and $6.120 billion of tax obligations. Intel stated there were no significant off-balance-sheet arrangements. The independent auditor issued unqualified opinions on the financial statements and internal control over financial reporting.

Important facts for investors to verify

  • How much of reported profit and EPS trends reflect the one-time Tax Reform charge, equity-sale gains, and divestiture effects, and whether provisional tax estimates changed afterward.
  • Whether 10nm manufacturing ramps, product introductions, yields, and associated costs met management expectations.
  • Whether NSG achieved the forecast full-year 2018 profitability and whether growth in data-centric segments persisted.
  • The eventual financial, customer, and legal effects of Spectre and Meltdown, including any additional security mitigations or claims.
  • Mobileye integration, the realization of expected acquisition benefits, and the carrying value and performance of acquisition-related goodwill and intangibles.
  • Developments in significant litigation and the concentration of revenue among major customers.
