Lumentum Holdings Inc. — FY2023 Form 10-K Summary
Business context and reporting period
This is Lumentum’s annual report for the fiscal year ended July 1, 2023, compared primarily with the fiscal year ended July 2, 2022. The request metadata says “2022 Q4,” but the filing covers FY2023, not a standalone 2022 fourth quarter. Lumentum supplies optical communications products and commercial lasers through its OpComms and Lasers segments. FY2023 included the NeoPhotonics merger and acquisition of IPG Photonics’ telecom transmission product lines, both completed in August 2022.
Financial results and position
| Metric | FY2023 | FY2022 |
|---|---|---|
| Revenue | $1.767 billion | $1.713 billion |
| Gross profit / margin | $569.0 million / 32.2% | $788.6 million / 46.0% |
| Operating income (loss) | $(115.7) million | $303.3 million |
| Net income (loss) | $(131.6) million | $198.9 million |
| Diluted earnings (loss) per share | $(1.93) | $2.68 |
| Cash from operating activities | $179.8 million | $459.3 million |
- Revenue rose 3.2%. OpComms revenue increased 2.6% to $1.558 billion; Lasers revenue increased 7.8% to $209.2 million.
- Segment gross margins were 42.7% for OpComms (51.4% in FY2022) and 46.8% for Lasers (52.6%). The reported consolidated margin also reflects acquired-intangible amortization and other unallocated costs.
- Cash and cash equivalents were $859.0 million; short-term investments were $1.155 billion, for combined cash and short-term investments of about $2.014 billion. Cash declined $431.2 million during the year.
- Convertible-note principal totaled $2.838 billion at year-end, including $323.1 million due in March 2024. The balance sheet’s net carrying amount of convertible notes was $2.812 billion. Management said available cash and expected operating cash flows should cover liquidity and capital spending needs for at least 12 months.
- Current assets were $2.778 billion and current liabilities $633.8 million. Inventory rose to $408.6 million from $250.1 million.
Material changes versus FY2022
- Consolidated gross margin fell 13.8 percentage points and the company moved from operating and net income to losses. Management cited less favorable product mix, lower customer demand and factory underutilization, higher acquired-intangible amortization, inventory fair-value step-up amortization, inventory charges and elevated component procurement costs.
- Telecom and Datacom revenue increased by $315.8 million, including $340.4 million of revenue contributed by NeoPhotonics after closing. Datacom demand was also affected by customer inventory reductions and slower cloud-data-center spending. Consumer and Industrial revenue fell $276.5 million, mainly due to competition and share normalization.
- Operating cash flow decreased by $279.5 million. Investing cash outflow was $874.0 million, chiefly reflecting $861.6 million for acquisitions, net of cash acquired, and $128.5 million of capital expenditures.
- Research and development expense increased 39.5% to $307.8 million; selling, general and administrative expense rose 31.3% to $348.8 million, in part due to acquired headcount, compensation, amortization and transaction costs.
Outlook, commentary, risks and unusual items
- No specific numerical revenue or earnings guidance is provided. Management expects customer inventory management to continue affecting the business during FY2024 and says ordering patterns have become difficult to predict. It plans to continue significant R&D investment.
- Supply constraints improved in the latter half of FY2023, but shortages, customer buffer-stock drawdowns, higher procurement costs and delayed or reduced shipments remain risks. Backlog declined to $389.9 million from $594.0 million; it excludes vendor-managed inventory and is not necessarily predictive of future revenue.
- Key exposures include customer concentration (Apple represented 12.1% and Ciena 15.3% of FY2023 revenue), dependence on limited-source suppliers and contract manufacturers, export restrictions and U.S.-China trade policy, competition and pricing pressure, and integration of recent acquisitions. International shipments represented 86.3% of revenue.
- Notable FY2023 items included $28.1 million of restructuring charges; $21.3 million of acquired-intangible write-offs; $17.8 million of acquired inventory step-up amortization; $32.5 million of incremental cost of sales for broker-sourced components; and a $7.8 million accrual for pending non-ordinary-course litigation settlement. These are separate disclosed items and should not be added without considering their accounting classification.
- The NeoPhotonics acquisition consideration was $934.4 million; IPG product lines were acquired for $55.9 million. The auditor identified inventory valuation and NeoPhotonics acquired-intangible valuation as critical audit matters. Management and the auditor reported effective internal controls, but acquired businesses representing about 22% of assets and 20% of revenue were excluded from the year-end controls assessment while integration continued.
Important facts for investors to verify

- Inventory quality and reserve assumptions, including forecast demand and product-transition risks highlighted as a critical audit matter.
- Progress integrating NeoPhotonics and IPG, including controls integration, expected synergies and any further restructuring or asset write-offs.
- Developments in the pending litigation settlement, tax audits and $64.4 million of unrecognized tax benefits, as well as changes to export restrictions or supplier availability.
