Material changes and operating trends
- Commerce revenue increased 48.9% to $2.496B; fintech revenue increased 21.7% to $1.837B. Management attributed growth to higher marketplace activity, lending originations, payment volume and shipments.
- Gross merchandise volume was $11.365B (+20.5%); items sold were 385M (+24.6%) and items shipped were 379M (+25.5%). Total payment volume was $40.727B (+34.5%); fintech monthly active users were 49M versus 36M.
- Brazil revenue increased 56.9% to $2.571B and Mexico increased 59.2% to $971M. Argentina revenue declined 21.9% to $615M in reported dollars, principally reflecting peso depreciation; the filing reports Argentina local-currency revenue growth of 238.6%.
- Operating cash flow increased, partly due to higher customer funds payable. Investing outflows increased as lending expanded and net investment purchases rose.
- The company revised income-statement presentation beginning in 2024, moving specified Mercado Pago interest, financing and hedging results into revenue and cost of revenue. Prior periods were recast; the change did not affect previously reported net income, EPS or equity.
- Management changed certain key performance indicators for 2024, including separating fintech monthly active users and unique active buyers, and excluding peer-to-peer transactions from payment volume and transaction measures. Prior-period payment metrics were recast where indicated.
Outlook, risks and unusual items
- MercadoLibre does not provide traditional near-term earnings guidance, citing uncertainty in forecasting and its long-term focus. Management expects continued investment in technology and logistics capacity and stated that available liquidity and operating cash generation should fund foreseeable operating needs, capital expenditures and obligations.
- Management warned that margins could come under pressure from first-party sales, logistics expansion and costs that grow faster than revenue. Foreign exchange, inflation, interest rates, credit quality and regulatory changes are significant risks; results are highly exposed to Latin American currencies and markets.
- Argentina was treated as highly inflationary, with a 51.6% quarterly inflation rate and 272.8% average inter-annual inflation rate reported for the period. Its average official exchange rate against the U.S. dollar was 834.46 pesos, versus 192.41 a year earlier.
- Regulatory developments include Brazil’s credit-card interest-charge cap, effective January 2024, and changes to Argentine payment-funding rules effective May 1, 2024. Additional fintech licensing, capital, reporting and cybersecurity requirements are described for several countries.
- Legal proceedings: $112M was accrued for probable proceeding-related and other contingencies. Additional reasonably possible legal losses were estimated at up to $198M, with no accrual for those matters. A Brazilian withholding-tax dispute had a $338M recorded provision, with $294M of related judicial deposits. A separate buyer-protection program had estimated maximum exposure of $4.649B and a recorded provision of $9M.
- Notable commitments include cloud-service agreements, logistics contracts, a 10-year Brazilian air-logistics agreement with annual cost of $43M once fully operational, and a $56M five-year stadium naming-rights agreement. The existing share-repurchase authorization expired March 31, 2024; no shares were repurchased in Q1.
- The company completed an SAP ERP upgrade during the quarter and said it will continue monitoring related internal controls. Management concluded disclosure controls were effective; it reported no material change in risk factors from its 2023 Form 10-K.
Most important facts for investors to verify
- Whether strong reported revenue and earnings growth translates into durable profitability, given lower gross and operating margins.
- Credit portfolio performance: rising 15–90 day delinquencies, higher doubtful-account provisions, loan growth and allowance adequacy.
- Liquidity quality and availability, particularly the substantial cash and investments subject to regulatory guarantees or other restrictions, and reliance on customer balances and funding markets.
- Currency and inflation effects, especially the distinction between reported-dollar and local-currency growth in Argentina.
- Progress and potential financial impact of tax and legal matters, including the Brazilian withholding-tax dispute and reasonably possible litigation losses.
- How the revised financial-statement presentation and KPI definitions affect comparisons with prior periods; the filing states the income-statement reclassification did not change net income.
