Products generated $1.964 billion of sales, down slightly from $1.968 billion, while services generated $415.5 million, up from $356.3 million. North America sales increased 4% to $1.905 billion, EMEA declined 3% to $412.8 million and APAC declined 2% to $61.8 million. North American software sales increased 51% and services sales increased 12%, offset by a 14% decline in hardware sales.

The margin expansion primarily reflected a larger contribution from higher-margin services and cloud solutions, including activity from SADA and Amdaris. Selling and administrative expenses increased 9% to $337.4 million, driven by higher personnel costs and acquisition-related amortization. Severance and restructuring expense was $2.2 million, and acquisition and integration expense was $1.3 million.

Cash, cash equivalents and restricted cash totaled $381.1 million at March 31, 2024, compared with $177.8 million at March 31, 2023. Cash and cash equivalents on the balance sheet were $379.1 million. The cash conversion cycle improved to 20 days from 33 days, or 17 days versus 23 days after the Company’s adjustment for netted costs. The improvement was primarily due to higher payables days and lower inventory days, partly offset by higher receivables days.

Total debt was $881.6 million at March 31, 2024, consisting primarily of $550.0 million outstanding under the ABL facility and $331.5 million of convertible notes. The ABL facility had $1.404 billion of borrowing availability based on eligible receivables and inventory, with $550.0 million outstanding. Inventory financing facilities had $705.0 million of total capacity and $227.1 million outstanding. The Company reported compliance with its debt covenants.

Capital expenditures were $6.5 million in the quarter. Management expects full-year 2024 capital expenditures of $50 million to $55 million. Financing cash uses included $42.2 million of net ABL repayments, $4.5 million of net inventory-financing repayments, $16.9 million of principal repaid on converted notes, $18.3 million of earnout and acquisition-related payments, and $35.0 million of share repurchases.

Material changes versus the prior comparable period

  • Revenue grew modestly, but the mix shifted substantially toward software and services and away from hardware.
  • Gross margin expanded 170 basis points, led by higher-margin services and cloud offerings.
  • Operating margin improved from 3.3% to 4.2%, despite higher selling and administrative expenses.
  • Net earnings increased $17.1 million, while diluted EPS increased $0.40, benefiting from higher earnings and fewer basic weighted-average shares.
  • Operating cash flow increased $87.0 million, reflecting timing of receipts and partner payments and deferral of certain operating payments at quarter-end.
  • Share repurchases declined to $35.0 million from $117.1 million. Approximately $165.0 million remained available under the repurchase authorization.
  • The Company continued integrating SADA, acquired December 1, 2023, and Amdaris, acquired August 17, 2023. Acquisition-related amortization and personnel costs increased as a result.

Guidance, outlook, risks and unusual items

Management believes supply constraints and extended lead times for infrastructure products have normalized near historic levels, but expects a general slowdown in client decision-making to continue in the short term. Higher interest rates may persist through the second half of 2024. Management expects cash from operations and available financing capacity to fund operations, capital expenditures, acquisitions, repurchases, debt repayments and the February 2025 note maturity over the next 12 months and beyond.

The $350.0 million convertible senior notes mature February 15, 2025. Following a market-price trigger in the first quarter, the notes are currently convertible at the holders’ option. The Company must settle principal in cash; as of March 31, 2024, the net carrying amount was $331.5 million. The maximum potential shares issuable upon conversion, including specified adjustments, were 6.8 million. The filing states that no events of default or fundamental-change provisions had occurred.

On May 1, 2024, after quarter-end, the Company acquired InfoCenter.io for a preliminary cash purchase price of approximately $265 million, plus potential earnouts of up to $106.3 million. InfoCenter is a ServiceNow Elite Partner. The SADA purchase price included an estimated $21.3 million earnout liability and potential seller earnout payments of up to $390 million through 2026.

Other commitments include remaining minimum purchase commitments of $91.5 million for cloud services and $26.1 million for software-as-a-service arrangements. The Company recorded a $21.4 million contingent liability related to contractual commitments to resell cloud services. Performance bonds totaled approximately $27.7 million, for which management did not consider payment probable.

Key risks include weaker economic conditions and client spending, pricing pressure, dependence on technology partners and incentives, cyberattacks and system disruptions, supply-chain and geopolitical risks, international operations, public-sector contract risks, acquisition integration, higher borrowing costs, potential conversion of the notes, tax audits, litigation and exposure to rapidly changing technology and generative artificial intelligence. No material pending legal proceedings were reported, and disclosure controls were deemed effective.

Facts investors should verify

  • Whether services and cloud growth, including contributions from SADA and future acquisitions, can offset continued hardware declines.
  • The timing and funding of the $331.5 million carrying value of convertible notes due February 2025 and any additional share dilution upon conversion.
  • The effect of higher interest rates on ABL borrowing costs and the Company’s ability to reduce debt as planned.
  • Whether improved cash flow and the 20-day cash conversion cycle are sustainable, given higher receivables days and quarter-end payment timing.
  • The preliminary accounting, integration progress and earnout exposure associated with SADA, Amdaris and the subsequent InfoCenter acquisition.
  • Whether the $50 million to $55 million capital expenditure outlook and stated liquidity expectations remain achievable.
  • Changes in partner incentives, cloud-service commitments, tax audits and other contractual or contingent obligations.
