Material Changes Versus Prior Comparable Period

  • Quarterly common earnings increased 59% to $29.6 million, and diluted EPS increased to $0.49 from $0.31. Six-month common earnings increased to $61.2 million from $35.2 million.
  • Net interest income declined 5.9% in the quarter and 6.8% year to date. Margin compression reflected excess liquidity and the low interest-rate environment, despite lower deposit and borrowing costs.
  • The credit-loss result improved materially, shifting from a $9.6 million provision in Q2 2020 to a $6.5 million benefit in Q2 2021. Management attributed the benefit to improved economic forecasts and stabilizing asset quality.
  • Other income increased year to date, including an $8.9 million net gain on equity investments, while commercial loan swap income declined by $5.4 million year to date because of lower activity.
  • Operating expenses decreased primarily because of lower merger-related, branch-consolidation, and FHLB prepayment costs in 2021. Compensation expense increased, partly reflecting additional commercial banking hires.
  • The Company repurchased 500,000 shares during the quarter and 1.0 million shares during the first six months at a weighted average cost of $20.94. A new authorization permits repurchases of up to an additional 3.0 million shares.

  • At June 30, 2021, 98.3% of total loans complied with pre-COVID-19 terms. PPP loans of $83.0 million and deferred fees of $3.2 million remained outstanding.
  • Commercial banking expansion remains a strategic focus. Management added seven commercial bankers during the quarter, bringing 2021 additions to 16, and reported a record loan pipeline of $628.6 million.
  • No formal full-year earnings or revenue guidance is provided in the filing. Management stated that liquidity was sufficient under stress scenarios and expects to retain a significant portion of maturing time deposits.
  • Outstanding commitments to originate loans were $628.6 million, and undrawn lines of credit totaled $1.12 billion. These commitments may not result in equivalent future cash funding because some may expire unused.
  • Key risks include interest-rate and margin pressure, deposit and loan demand, commercial real estate and other credit deterioration, collateral values, unemployment, COVID-19 developments, regulatory changes, cybersecurity, competition, and the ability of the Bank to distribute dividends to the holding company.
  • The Company disclosed a $1.2 million reserve for loan repurchase and FHLB loss-sharing obligations. COVID-19-related forbearance may create future repurchase exposure on certain sold loans.

Important Facts for Investors to Verify

  • The pace and cost of authorized share repurchases and the continued ability of the Bank to upstream dividends supporting the holding company’s dividends and obligations.
