Changes versus the prior comparable period
- Revenue rose 51%, primarily from REV7 sensor launches and a full quarter of Velodyne product-line results. Revenue increased in each reported region: Americas 7%, Asia Pacific 130%, and Europe, Middle East and Africa 97%.
- Gross margin improved to 29% from negative 2%, while cost of revenue increased only 5%.
- Research and development, sales and marketing, and general and administrative expenses fell 57%, 49%, and 60%, respectively, mainly reflecting 2023 restructuring and cost reductions. Q1 2023 also included $99.4 million of goodwill impairment; none was recorded in Q1 2024.
- Operating cash use improved to $5.7 million from $53.0 million. The company nevertheless continued to report a substantial operating loss.
Outlook, risks, contingencies, and unusual items
- No quantified revenue, earnings, or cash-flow guidance is provided. Management’s 2024 priorities include expanding software solutions, advancing hardware development, growing the customer base, and progressing toward its long-term financial framework. It expects revenue and gross margins to grow, but cautions that customer commercialization timelines and quarterly results are difficult to predict.
- Management says existing liquidity is adequate for at least 12 months from issuance of the financial statements, but expects operating losses and negative operating cash flows to continue for the foreseeable future and may need additional capital.
- The $45 million UBS revolving facility had $44 million outstanding, matures August 2, 2025, and requires at least $52 million of qualifying liquidity in UBS or affiliate accounts. Ouster reported covenant compliance at quarter-end. Variable-rate debt exposes it to rate increases.
- A $27.5 million settlement liability for legacy Velodyne securities litigation was accrued in 2023; approximately $23.4 million is expected to be covered by insurance. The court preliminarily approved the settlement after quarter-end, with final approval scheduled for August 16, 2024.
- Ouster’s patent dispute with Hesai remains unresolved. The ITC investigation was terminated following an arbitration ruling; arbitration and patent proceedings continue, and the PTAB instituted review of four asserted patents. The filing says possible losses for the disclosed matters generally cannot be estimated.
- Disclosure controls and procedures were not effective at March 31, 2024 because of material weaknesses in the control environment and financial reporting controls. Management is pursuing remediation; sustained effectiveness has not yet been demonstrated.
- Key risks include downward pressure on sensor prices, uncertain adoption and customer production schedules, reliance on limited or single-source suppliers, inventory obsolescence, and ongoing legal matters. Two customers represented 53% of accounts and unbilled receivables at quarter-end.
Important facts for investors to verify
- Whether revenue growth and improved gross margin persist, separating underlying demand from the merger comparison and product mix.
- Quarterly cash burn, liquidity available after UBS collateral requirements, debt terms and maturity, and any need for additional financing.
- Progress and sustained effectiveness of internal-control remediation, given the disclosed material weaknesses and quarter-period adjustments to equity and warrant-liability accounts.
- Final settlement approval, insurance recovery, and developments in the Hesai litigation, arbitration, and patent reviews.
- Share issuance and dilution: 44.98 million shares were outstanding at March 31; the ATM program had approximately $114.4 million of stated remaining capacity, and warrants and equity awards may add dilution.
