Material changes and drivers

  • Peoples acquired NB&T for $102.7 million in cash and stock, issuing 3.21 million shares. The transaction added approximately $390.0 million of loans, $629.5 million of deposits, 22 branches, and $26.1 million of preliminary goodwill.
  • Year-over-year net interest income rose 38%, largely from acquisition-related and organic loan growth, a changed asset mix, lower funding costs, and acquired-loan accretion. Net interest margin improved year over year but declined from 3.53% in Q4 2014; management attributed the sequential decline partly to elevated cash balances after the acquisition.
  • The net loss chiefly reflected acquisition and integration costs: the filing reports $9.0 million of acquisition-related expense in non-interest expense and $9.6 million of total acquisition-related expense in its transaction discussion. Other unusual costs included $0.52 million of FHLB debt-extinguishment charges, $0.58 million of premises and equipment losses, and $0.27 million of pension settlement charges.
  • Total non-interest expense was $32.9 million, versus $18.8 million a year earlier. The efficiency ratio rose to 96.71% from 71.13%; excluding acquisition costs and other one-time expenses, management’s target range is 68%–70%.

Credit, capital, liquidity, outlook and risks

  • Nonperforming loans were 0.60% of loans, compared with 0.73% a year earlier and 0.69% at year-end 2014. Nonperforming assets were 0.42% of assets. The allowance was $18.1 million, or 1.48% of originated loans; net charge-offs were $0.14 million. Criticized loans increased $42.6 million during the quarter, including $27.0 million from NB&T.
  • Regulatory capital remained above “well capitalized” thresholds: Common Equity Tier 1 was 13.74%, Tier 1 was 14.06%, and total risk-based capital was 15.03%. Management reported compliance with material loan covenants.
  • Liquidity assets were $270.3 million, or 8.0% of total assets and unfunded commitments, above the stated $67.6 million policy minimum. Management said available liquidity and funding sources were adequate for anticipated obligations.
  • Management estimated that parallel rate increases of 100, 200, and 300 basis points could raise net interest income by 4.7%, 7.1%, and 8.5%, respectively, while reducing economic value of equity by 3.2%, 7.9%, and 13.0%. Actual rate changes may not be parallel.
  • Management estimated a 2015 tax rate of 30%–31%. The filing provides no earnings-per-share or revenue guidance. Key risks include acquisition integration and costs, credit deterioration, interest-rate and market changes, competition, regulatory requirements, and maintaining capital and liquidity. Management stated pending legal matters were not expected to have a material adverse effect based on current knowledge.

Important facts for investors to verify

  • Progress and remaining costs of NB&T integration, and the final purchase accounting, which was preliminary and subject to refinement.
  • Whether expense levels and the efficiency ratio improve toward management’s 68%–70% target after one-time costs subside.
  • Credit quality trends, especially criticized commercial relationships, acquired loans, delinquencies, and allowance adequacy.
  • How the acquired deposits and elevated cash balance affect funding costs, net interest margin, and liquidity in subsequent quarters.
  • Capital and tangible book value per share after acquisition-related share issuance; tangible book value was $15.01 versus $15.57 at year-end 2014.
