Robotics revenue was $999, up $63 (about 7%). Robotics service revenue rose to $799 from $232, while product revenue fell to $187 from $613 and leasing revenue declined to $13 from $91. Management attributed overall revenue growth to customer-base expansion and a change in sales mix, including increased service and customized-development activity.

Cost of revenue increased 11% to $496. The filing reports gross margin of approximately 61% for the quarter, versus 53% a year earlier; however, reported gross profit divided by reported revenue is approximately 55% ($610/$1,106). The filing does not explain this difference. R&D was $834, sales and marketing $595, and general and administrative expense $1,443. Interest expense was $486, compared with $1 previously. Income tax expense or benefit was nil in both periods.

Financial position and liquidity

At December 31, 2023, cash and cash equivalents were $7,535, compared with $433 at September 30, 2023. Current assets were $11,503 and current liabilities $838, giving working capital of $10,665. Total assets were $12,311, total liabilities $964, and stockholders’ equity $11,347. Accounts receivable was $3,144, net of a $165 allowance.

Short-term loans were $50 at quarter-end, down from $845 at September 30, 2023; the company said it had entered into ten short-term loan agreements during 2023 for total principal of approximately $1,853. Operating lease liabilities totaled $256. Operating cash outflow was $1,212; investing cash outflow was $25; financing provided $8,339, including $9,286 of stockholder capital proceeds, offset by debt repayments. Cash increased by $7,102 during the quarter.

Management believes existing cash will fund current operating plans for at least twelve months from the report date. It says additional financing could come from founder investment, equity or debt financings, third-party funding, or commercial arrangements; further equity or convertible debt could significantly dilute existing stockholders.

Material changes, outlook, and risks

  • Revenue growth reflected a substantial shift toward higher service revenue and away from product and leasing sales. Management said the product line was being upgraded and expects product and leasing revenue to return to growth after the upgrades; no quantified revenue forecast was provided.
  • Management anticipates R&D expenses will increase approximately 20%–30% in 2024 and 2025. Sales and marketing costs rose sharply due primarily to advertising and social media spending; G&A growth reflected public-company professional fees and related costs.
  • Risks cited include competition and potential pricing pressure, uncertain adoption of service robots, recession-related demand weakness, supply-chain and geopolitical disruptions involving components assembled in China, inflation and borrowing costs, changing technology and regulation, and the need for additional financing.
  • Management identified a material weakness in IT general controls over third-party systems and applications, including SaaS vendor controls and information produced by the company, such as spreadsheets. Disclosure controls and procedures were concluded to be ineffective. No related material misstatement or revision of previously released results was identified. Remediation is underway but is not considered complete until controls operate effectively for a sufficient period and are tested.
  • The company reported no legal matters expected to have a material financial impact and no off-balance-sheet arrangements. It registered 6,000,000 Class B shares for an employee stock option plan expected to take effect in March 2024.

Key facts for investors to verify

  • Reconcile the filing’s stated 61% gross margin with gross profit and revenue, which imply approximately 55%.
  • Assess whether the service-heavy revenue mix and management’s expectation of renewed product and leasing growth are sustainable.
  • Review the drivers and terms behind $486 of quarterly interest expense, given the $50 short-term loan balance at quarter-end and the reported prior-year expense of $1.
  • Monitor cash burn, the stated twelve-month liquidity outlook, and any need for additional financing or the resulting dilution.
  • Track remediation and testing of the material weakness in IT controls, and the potential dilution from the 6,000,000-share employee plan.
