Business context and reporting period
Sohu.com Limited’s Form 20-F is an audited annual report for the fiscal year ended December 31, 2023, prepared under U.S. GAAP. It covers Sohu’s online media and video businesses and wholly owned Changyou’s online games and platform-channel businesses. The filing is annual, not a standalone 2023 fourth-quarter report; it does not provide a clear set of Q4-only financial results. Sogou was sold to Tencent in 2021 and is excluded from continuing operations.

- Revenue mix: Online games generated $479.7 million (80% of revenue), brand advertising $88.7 million (15%), and other revenue $32.3 million (5%). Gaming revenue fell 18%, advertising fell 14%, and other revenue fell 29%.
- Margins and expenses: Overall gross margin rose to 76% from 74%, mainly as costs fell faster than revenue. Gaming gross margin was 86% versus 84%; brand advertising gross margin was 20% versus 16%. Operating expenses were nearly flat at $542.2 million; product development rose 7%, while sales and marketing fell 5% and general and administrative expenses fell 14%.
- Other income and tax: Other income was $35.7 million and interest income was $45.2 million, up from $17.6 million and $17.3 million, respectively, in 2022. Interest expense was nil in 2023. Income tax expense was $60.4 million.
- Cash and liquidity: At year-end, cash and cash equivalents were $362.5 million, restricted cash $3.2 million, short-term investments $597.8 million, and long-term time deposits $388.6 million. Current assets were $1.12 billion and current liabilities $342.4 million. Management said liquidity was sufficient for anticipated needs for at least 12 months, while noting that funds may be subject to China-related transfer and currency restrictions.
- Cash flow and debt: Investing activities used $291.7 million, principally reflecting purchases of short-term investments and time deposits, net of proceeds. Financing activities used $6.6 million, primarily for share repurchases. Cash, cash equivalents and restricted cash declined $335.8 million during 2023. The filing reports no bank-loan proceeds or repayments in 2023 and no interest expense; it does not present a separate debt total in the summary data. Total liabilities were $822.8 million, including $212.9 million of long-term tax liabilities and $261.5 million of deferred tax liabilities.
Material changes versus the prior comparable period
- Revenue declined 18%, from $733.9 million to $600.7 million, while the operating loss widened from $0.9 million to $87.3 million and the continuing-operations net loss attributable to Sohu widened from $17.3 million to $65.8 million.
- Changyou’s PC-game revenue decreased to $368.7 million from $425.7 million; mobile-game revenue fell to $111.0 million from $159.7 million. Management attributed the declines primarily to the natural decline of established games.
- Brand advertising revenue fell to $88.7 million from $103.2 million. Sohu Media Portal revenue declined to $66.1 million from $76.8 million; Sohu Video revenue declined to $17.6 million from $19.6 million. Focus was integrated into Sohu Media Portal in 2023, and prior-year figures were retrospectively adjusted for comparison.
- Cash and cash equivalents fell from $697.8 million to $362.5 million, while short-term investments rose from $473.6 million to $597.8 million and long-term time deposits rose from $265.8 million to $388.6 million.
- Reported 2023 net loss includes $35.4 million of income from discontinued operations arising from the conclusion of Changyou’s Shanghai Jingmao bankruptcy proceeding. This was a nonrecurring item; without it, the total net loss would have been larger.
Outlook, management commentary, risks and unusual items
- Management said advertisers remained cautious in 2023, weighing on advertising results. It described efforts to improve mobile products, content and user experience, and Changyou’s focus on optimizing existing games, developing new games, and broadening its portfolio. No quantified revenue or earnings guidance is provided.
- Revenue is highly concentrated in Changyou’s legacy titles: TLBB PC generated $321.4 million, approximately 53% of Group revenue, and Legacy TLBB Mobile generated $55.4 million. The filing warns that player interest and revenue from these games may continue to decline. Tencent operates Legacy TLBB Mobile under license; New TLBB Mobile launched in August 2023, but the filing does not provide a separate revenue contribution for it.
- Licensing and regulatory exposures include Guanyou Gamespace’s online publishing license, which had expired and was awaiting renewal as of the filing date; Sohu Internet’s Internet publishing license renewal was also in process. Gamease received a license renewal in February 2024. Changes in Chinese rules or license decisions could restrict operations.
- The Group conducts significant operations through VIEs it does not own, relying on contractual arrangements that may be difficult to enforce. The filing also highlights restrictions on moving cash out of China, foreign-exchange controls, and the possibility that regulators could challenge the VIE structure.
- Long-term tax liabilities of $212.9 million include approximately $200.0 million related to prior business transactions that management believes may result in additional tax obligations and $12.9 million of interest on an unrecognized tax benefit. The filing says payment timing cannot be reliably estimated. Separately, the Group believes it may have been a passive foreign investment company (PFIC) for its 2023 taxable year, which could have adverse U.S. tax consequences for U.S. investors.
- Other significant risks include intense competition, macroeconomic weakness, data privacy and cybersecurity regulation, intellectual-property claims, and foreign-exchange movements. The RMB depreciated against the U.S. dollar in 2023. The company reported no material cybersecurity incident as of the filing date.
- The Board authorized an $80 million ADS repurchase program in November 2023 and increased it to $150 million in March 2024. As of February 29, 2024, approximately $12 million had been repurchased. Sohu does not anticipate cash dividends for the foreseeable future.
