Solidion Technology, Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024; unaudited. Filed June 6, 2024. Solidion develops battery materials, components, cells and selected module/pack technologies. The February 2, 2024 merger with Honeycomb Battery Company (HBC) was accounted for as a reverse recapitalization/common-control transaction, with HBC as accounting predecessor. Accordingly, prior-period figures reflect HBC’s operations and are not fully comparable with the post-merger public company.

- The 2024 net loss included $8.18 million of derivative-liability fair-value expense and $17.82 million of loss related to issuing common stock and warrants in the private placement. These materially increased reported loss but were non-cash items in the operating cash flow reconciliation.
- SG&A increased $2.05 million year over year, primarily from professional fees, stock-based compensation, insurance and public-company administrative costs. Gross margin is not meaningful given zero sales.
- Cash was $1.82 million at March 31, 2024, versus $780 at December 31, 2023. Operating and investing activities used $2.13 million; financing activities provided $3.95 million. The financing inflow included private-placement proceeds and convertible-note proceeds, partly offset by repayments and transaction-related payments.
- Total assets were $8.50 million; total liabilities were $49.13 million, including $41.81 million of derivative liabilities. Stockholders’ deficit was $40.63 million, compared with equity of $3.41 million at year-end. Accumulated deficit was $119.72 million.
- Current liabilities included $2.19 million of short-term notes, $527,500 of convertible notes, $757,858 due to related parties, $890,385 of excise tax payable and $89,267 of income taxes payable. Management reported no long-term debt or lease obligations. Contractual obligations listed as current liabilities totaled $4.45 million.
Material changes, financing and capital structure
- The merger closed February 2, 2024. Solidion received only $17,555 of net cash from the merger after trust proceeds and transaction-related payments, despite $25.16 million of cash released from the trust.
- On March 15, the company closed a private placement for $3.85 million gross proceeds, issuing 5.13 million units/pre-funded units at $0.75 per unit. Each unit included common stock or a pre-funded warrant, two Series A warrants and a Series B warrant. The Series A and B warrants are liability-classified and remeasured at fair value; their combined recorded fair value was $21.17 million at quarter-end.
- The company issued $527,500 of convertible notes during the quarter, convertible into approximately 3.3 million shares. Short-term notes include a $2.2 million EF Hutton note and a $540,000 Loeb & Loeb note; the filing describes scheduled monthly repayments and high stated or implied interest costs. In April, the company paid G3 $669,985 and executed a further $670,000 note with Benesch, bearing 7% interest and maturing November 1, 2024.
- Shares outstanding were 86,900,398 at March 31, 2024. The filing identifies 81.95 million potential common-share equivalents excluded from diluted loss per share as anti-dilutive, including warrants, forward-purchase shares, convertible notes and up to 22.5 million earnout shares. The Forward Purchase Agreement’s 8.04 million additional shares had not been issued at quarter-end.
Outlook, risks and unusual items
- Going concern: Management says existing cash and projected liquidity are insufficient to sustain operations and meet obligations for one year after issuance of the financial statements. The company expects continued losses and operating cash use, and substantial doubt exists about its ability to continue as a going concern. It plans to seek equity, debt, grants or loans, but financing is not assured.
- Commercialization: Management does not expect significant revenue until commercialization and manufacturing capacity are established. It describes graphite-based and graphene-enhanced SiOx anodes as in final product development, with small-scale Si-rich anode production at 15 metric tons per annum and planned expansion to more than 150 MTA by 2026. It targets Generation 1 silicon-rich solid-state lithium-ion cells and Generation 2 lithium-metal cells for 2026, and Generation 3 lithium-sulfur cells for 2027. These are forward-looking targets, not assured outcomes.
- Funding and dilution: The filing highlights reliance on additional capital and substantial potential dilution from warrants, the forward purchase agreement, convertible notes, earnout shares and equity awards. The Forward Purchase Agreement is a Level 3 liability valued at $20.64 million; its terms and valuation depend on significant assumptions and may create further volatility or settlement obligations.
- Contingency: A federal tax lien on G3 property relates to unpaid 2017 taxes; the balance, including interest, was $1.91 million as of May 2024. The lien could affect proceeds if the building is sold. Solidion has not recorded a liability because a sale is uncertain and there are no immediate plans to sell. A 200,000-share merger holdback, valued at $906,000, remains tied to settlement of the lien.
- Controls: Management concluded disclosure controls were ineffective at March 31, 2024 due to a material weakness involving insufficient qualified technical accounting/reporting personnel and weaknesses in period-end financial reporting. Remediation includes additional contract resources, stronger technical processes and improved review documentation.
- Other risks: The filing cites technology development and commercialization, competition, intellectual-property protection, supply-chain and manufacturing capacity, recruitment of key personnel and the need to establish distribution and markets. It reports no material legal proceedings.
