Revenue growth was driven by higher active buyers, orders and average order value, and by the transition of certain RaaS partners and European operations to the consignment model. Consignment revenue represented 76.9% of total revenue versus 61.2% in the prior-year quarter.
Consignment gross margin increased to 82.8% from 80.2%, primarily due to lower shipping, labor and packaging costs. Product gross margin declined to 25.1% from 47.0%, primarily because of higher inventory costs in European operations.
Operating expenses increased 1.1% to $72.0 million. Operations, product and technology expense increased 7.1%, and sales, general and administrative expense increased 9.4%, partly due to reorganization-related severance. Marketing expense declined 20.5%.
Stock-based compensation was $7.2 million, compared with $9.4 million in the prior-year quarter. Reorganization-related severance and other costs totaled $3.0 million and were excluded from Adjusted EBITDA.

Material Changes, Outlook and Risks
Management expects operating losses to continue in 2024 while the company invests in growth and infrastructure. Management believes existing cash, cash equivalents and short-term marketable securities will be sufficient for at least the next 12 months and beyond. Capital expenditures are expected to be limited for the remainder of 2024, and the company does not anticipate adding distribution-center locations in the near term.
The company completed the first phase of its new Texas distribution center. Future capital requirements may depend on distribution-center automation and expansion, sales and marketing activity, new offerings, additional RaaS clients, marketplace growth and economic conditions.
- Inflation and elevated fuel, labor, processing, freight and interest costs may pressure margins, operating expenses and customer demand.
- European operations expose the company to foreign-currency risk; foreign-currency translation reduced comprehensive income by $0.9 million during the quarter.
- The company identified risks related to implementing artificial intelligence and machine learning, including cost, bias, cybersecurity, privacy, intellectual-property, regulatory and reputational risks.
- Reorganization activities may fail to produce expected savings, create additional charges, disrupt operations or result in the loss of key personnel.
- The company remains dependent on attracting and retaining buyers and sellers, expanding RaaS revenue, competing effectively and managing its liquidity while continuing to incur losses.
- No material pending legal proceedings were reported, and management stated that ordinary-course litigation is not expected to have a material adverse effect.
Management concluded that disclosure controls and procedures were effective as of March 31, 2024, and reported no material changes in internal control over financial reporting during the quarter.
