Financing used $66.0 million, including $48.0 million of net credit-line repayments and $17.7 million of share repurchases. The current ratio was 1.8, compared with 1.4 in 2019. At year-end, borrowing availability was $102.3 million; the company reported compliance with credit covenants. The credit facility was extended in January 2021 to November 2022.

Changes and drivers

  • Sales fell 18.4%, principally because COVID-19 disrupted customer demand, production and supply, including delayed reopening of China factories and temporary Mexico factory closure.
  • Gross margin rose to 28.7%, supported by lower U.S. tariff expense, improved Mexico manufacturing efficiency, higher royalty revenue and a stronger U.S. dollar against the Mexican peso.
  • SG&A declined 14.3% to $107.5 million, reflecting lower incentive compensation, contingent consideration, freight and travel costs, and other discretionary spending. R&D increased 6.9% to $31.5 million.
  • Net interest expense decreased to $1.4 million from $3.9 million, reflecting lower average borrowings and interest rates. Operating cash flow declined despite higher net income, partly due to working-capital outflows, including payables and accrued liabilities.
  • Comcast represented 20.1% of FY2020 sales, up from 15.9% in 2019. Qorvo accounted for 14.2% of inventory purchases in 2020.

Outlook, risks and unusual items

  • Management provided no specific numeric earnings or revenue guidance. It expects COVID-19 to weigh on sales demand at least through the first half of 2021 and warned that continuing supply disruptions or a prolonged factory closure could impair fulfillment and results. Stated 2021 priorities include product and software development, broader smart-home offerings, international expansion, growing existing-customer business and potential acquisitions or partnerships.
  • A $9.5 million accrued social-insurance liability was reversed after a two-year indemnification period related to the 2018 Guangzhou entity sale expired. This unusual item increased 2020 pretax income.
  • The effective tax rate fell to 12.1% from 65.1%; management attributed the lower 2020 rate to preferential foreign tax rates and foreign income not taxed locally, partly offset by a valuation allowance on U.S. tax losses. The U.S. recorded cumulative operating losses over the three years through 2020 and maintained a valuation allowance on U.S. deferred tax assets.
  • Key risks include COVID-19 demand and supply uncertainty, reliance on China-based manufacturing and key suppliers, U.S.-China tariffs and trade-policy changes, customer concentration, competition and technology shifts, foreign-exchange exposure, cyber and data-security risks, and tax and regulatory uncertainty. A 10% currency-rate movement across specified currencies was estimated to change first-quarter 2021 net income by approximately $9.1 million.
  • UEI is pursuing patent litigation involving Roku and other electronics companies, including an ITC investigation scheduled for trial in April 2021, and is challenging U.S. Section 301 tariffs in the Court of International Trade. The filing says outcomes and potential loss ranges cannot be estimated; management did not expect other pending litigation to materially affect the consolidated financial statements.
  • The independent auditor issued unqualified opinions on the financial statements and internal controls. Revenue-recognition timing for custom products was identified as a critical audit matter because it depends on contract terms and judgments about enforceable payment rights and alternative use.

Investor facts to verify

  • Whether demand, factory capacity and supplier availability recovered as expected after the filing, and whether sales stabilized following the annual decline.
  • Whether improved gross margin and operating profit are sustainable without the social-insurance reversal and amid tariff, freight and currency changes.
  • How Comcast concentration and the final performance period of its warrants affect revenue and potential share dilution; 275,000 warrants had vested by year-end, with up to 225,000 additional warrants subject to purchase thresholds through 2021.
  • How much reported cash is accessible for U.S. needs, given that most cash was held outside the United States and some repatriation is restricted or may incur taxes.
  • Developments in the patent and tariff cases, tax audits and uncertain tax positions, and compliance with credit-facility covenants.
