Vince Holding Corp. — Form 10-K Summary
Reporting period: Fiscal 2023, ended February 3, 2024 (53 weeks), compared with fiscal 2022, ended January 28, 2023 (52 weeks). The filing is an annual report, not a standalone 2022 fourth-quarter report; amounts below are fiscal-year figures and are in millions unless stated otherwise.
Business context and material developments
Vince operates a premium apparel business through wholesale, company-operated stores, e-commerce and its Vince Unfold subscription service. At year-end it operated 48 full-price stores and 15 outlets. Nordstrom accounted for 20% of fiscal 2023 net sales, versus 16% in fiscal 2022.
On May 25, 2023, the Company sold Vince intellectual property to Authentic Brands Group’s subsidiary ABG Vince for $76.5 million in cash and a 25% membership interest valued at $25.5 million. Vince retained an exclusive license to operate the business under a long-term agreement and recorded a $32.0 million gain on the Vince IP sale. The Company also sold Parker IP in February 2023; Rebecca Taylor had been wound down and its IP sold in December 2022.

Sales declined 18.1%, mainly reflecting the Rebecca Taylor wind-down and unusually high off-price sales in fiscal 2022, partly offset by the extra fiscal week. Gross margin improved by 6.9 percentage points, reflecting the exit from lower-margin Rebecca Taylor, lower product and freight costs, higher pricing, favorable inventory-reserve changes and less direct-to-consumer promotion. These benefits were partly offset by Vince license royalties. Fiscal 2023 net income included the $32.8 million total gain on intangible-asset sales, including the $32.0 million Vince gain; earnings therefore include a significant transaction-related benefit.
Vince Wholesale sales fell 11.7% to $149.6 million; segment operating income was $43.4 million, nearly unchanged. Direct-to-consumer sales fell 4.5% to $143.1 million; comparable sales declined 3.8%, with lower e-commerce traffic cited, while segment operating income rose to $5.8 million from $2.4 million. Rebecca Taylor and Parker sales were $0.2 million, down from $38.3 million, as the businesses exited.
Operating cash flow was modest despite reported net income. Inventory fell $31.2 million, while accounts payable and accrued expenses used $24.0 million of cash, primarily due to vendor-payment timing. Investing cash flow was $75.5 million, largely reflecting proceeds from asset sales. Financing cash flow was a $77.1 million outflow, including $44.3 million of net revolver repayments and repayment of the $29.4 million term-loan principal.
Year-end cash and cash equivalents were $0.4 million; restricted cash was $0.9 million. Debt principal totaled $44.2 million: $14.2 million drawn on the revolving facility and $30.0 million under the third-lien facility. Revolver availability, net of the borrowing-base limit, was $35.5 million; letters of credit outstanding were $5.1 million. The revolver’s year-end weighted-average rate was 8.2%. The Company reported compliance with applicable debt covenants. Current assets were $84.8 million and current liabilities $61.4 million.
Outlook, risks and unusual items
- Management stated that it expects available liquidity sources to meet obligations for the next 12 months, subject to operating cash flow, borrowing availability, inventory valuations and other conditions. The filing gives no quantified revenue or earnings guidance.
- A transformation program beginning in fiscal 2024 targets better gross margins and lower expenses through production streamlining, reduced promotions and markdown optimization, and efficiencies in stores, corporate overhead and third-party spending. Success is not assured.
- The Vince license runs through the end of fiscal 2032, subject to its terms, and includes renewal options. It requires an annual guaranteed minimum royalty of $11.0 million during the initial term, minimum sales and maintenance of at least 45 retail stores and shop-in-shops. ABG Vince has approval rights and may expand the brand through other licensees. Failure to meet material requirements could jeopardize the license, which supports all Company revenues.
- Lease obligations are substantial: $106.1 million of undiscounted future operating lease payments, including $22.0 million due in fiscal 2024. The Company also disclosed $99.0 million of scheduled guaranteed minimum royalty payments and $46.9 million of other unrecorded contractual obligations.
- Goodwill was $32.0 million, with no fiscal 2023 impairment; the Vince Wholesale reporting unit’s estimated fair value exceeded carrying value by 7.9%. The valuation depends on significant assumptions, including a 35% discount rate.
- Management identified an unremediated material weakness in IT general controls, including user access and segregation-of-duties controls. Disclosure controls and internal control over financial reporting were assessed as ineffective at year-end; additional substantive testing was performed. The auditor gave an unqualified opinion on the financial statements but did not opine on internal-control effectiveness.
- After year-end, the CEO resigned on March 26, 2024; a director and former CFO was appointed interim CEO while the Board searches for a permanent CEO. Other key risks include wholesale-customer concentration, sourcing exposure (79% of fiscal 2023 products were made in China), economic and promotional pressures, and reliance on third-party manufacturers and logistics providers.
- Management said ordinary-course legal matters were not expected to have a material adverse effect. The Company paid no cash dividends and does not expect to do so in the foreseeable future.
