Vince Holding Corp. — FY2022 Form 10-K
Reporting period: Fiscal year ended January 28, 2023 (52 weeks), compared with the 52-week year ended January 29, 2022. Although the request identifies 2021 Q4, this filing reports annual FY2022 results. Unless otherwise noted, financial amounts below are in USD millions.
Business context
Vince Holding operated the Vince, Rebecca Taylor and Parker brands during FY2022. Its three reportable segments were Vince Wholesale, Vince Direct-to-consumer, and Rebecca Taylor and Parker. The company announced a wind-down of Rebecca Taylor in September 2022; its stores closed by year-end and its e-commerce site ceased operating in December. Parker product development had previously been paused, and its intellectual property was sold after year-end.

| Gross profit / gross margin | $138.0 / 38.6% | $146.6 / 45.4% |

Sales increased 10.8%, but gross profit fell 5.9% and gross margin declined 6.8 percentage points. Management attributed the margin decline chiefly to increased direct-to-consumer promotions (about 440 basis points), inventory-reserve adjustments (about 320 basis points), and Rebecca Taylor liquidation and write-downs (about 270 basis points); lower freight costs and overhead leverage partly offset these pressures. FY2022 included $14.8 million of net Rebecca Taylor wind-down charges, $1.7 million of tradename impairment, $1.9 million of long-lived-asset impairment, and a $1.6 million gain on the Rebecca Taylor intellectual-property sale.
Segment results: Vince Wholesale sales were $169.4 million, up 14.6%, while operating income declined to $43.6 million from $45.8 million. Vince Direct-to-consumer sales rose 10.4% to $149.8 million, but operating income fell to $2.4 million from $10.9 million. Rebecca Taylor and Parker sales decreased 2.2% to $38.3 million; the segment’s operating loss widened to $21.3 million from $9.2 million.
Balance sheet and debt at January 28, 2023: Cash was $1.1 million; inventory was $90.0 million; current assets were $115.3 million and current liabilities $93.1 million. Debt principal totaled $113.8 million, versus $92.7 million a year earlier: $58.5 million under the revolving facility, $29.4 million under the term loan and $26.0 million under the third-lien facility. The revolver had $24.0 million of availability, net of the loan cap, and a 6.1% weighted-average rate, up from 1.8% a year earlier. The company reported compliance with applicable covenants. Operating lease liabilities were $93.0 million; undiscounted future lease payments totaled $112.9 million.
Cash from operating activities deteriorated to a $19.3 million outflow, including an $11.5 million inventory cash outflow, partly offset by collections. Cash provided by financing activities was $17.8 million; cash and cash equivalents ended the year at $1.1 million. The company recorded a $38.3 million net loss and shareholders’ equity of $20.3 million.
Material changes and subsequent developments
- Sales growth did not translate into higher gross profit, as promotional activity, reserve adjustments and brand wind-down costs compressed margins.
- Debt principal increased by $21.1 million year over year, while revolver availability fell from $40.6 million to $24.0 million and borrowing costs rose.
- On December 22, 2022, Rebecca Taylor intellectual property was sold for $4.25 million; $3.0 million of net proceeds repaid term-loan borrowings. Parker intellectual property was sold for $1.0 million after year-end, with $0.8 million used to repay term-loan borrowings.
- On April 21, 2023, Vince entered an agreement to sell its VINCE-related intellectual property to an Authentic Brands Group subsidiary for $76.5 million in cash and a 25% ownership interest in that subsidiary. The company expected to use the cash to repay the term loan in full and reduce revolver borrowings. The filing expected closing in May 2023, subject to conditions including stockholder approval; closing had not occurred as of the filing.
- The associated ABL amendment would reduce lender commitments in stages, set a $15 million minimum excess-availability covenant, and move maturity to June 30, 2024, among other changes. Effectiveness was conditional on closing the asset sale and related transactions.
Outlook, risks and controls
Management expected to maintain excess availability only minimally above the required covenant threshold and believed available liquidity would cover operating obligations for the next 12 months. That expectation depended on operating cash flow, inventory valuations, lender-imposed borrowing limits, the Rebecca Taylor wind-down and macroeconomic conditions. Management warned that weaker results could require refinancing, covenant relief, cost reductions, additional discounting, asset sales or other financing, with no assurance these options would be available.
Key risks include limited cash and substantial debt and lease commitments; reliance on a small number of wholesale customers (Nordstrom represented 16% of FY2022 sales); promotional and inventory risk; foreign sourcing concentration (82% of products were made in China); and execution and closing risks for the VINCE asset sale. The company also identified a continuing material weakness in IT general controls related to user access and segregation of duties. Disclosure controls and internal control over financial reporting were assessed as ineffective; management said it was continuing remediation and performing additional substantive procedures. The independent auditor gave an unqualified opinion on the financial statements but did not audit or opine on internal-control effectiveness.
The filing provides no specific earnings or revenue guidance. It describes seasonality and exposure to inflation, consumer demand, supply-chain disruption, interest rates, competition, cybersecurity and potential further asset impairments. Ordinary-course legal proceedings were not expected by management to have a material adverse effect. No cash dividends were paid, and the company did not expect to pay them in the foreseeable future.
Most important facts for investors to verify

- Post-transaction debt balances, revolver commitments and availability, covenant headroom, interest expense and the revised June 2024 ABL maturity.
- Cash generation, inventory quality and markdown exposure, and whether the significant decline in gross margin can be reversed.
- Results of the Rebecca Taylor wind-down and any remaining costs, obligations or effects on the Vince business.
- Progress and independent validation of remediation of the material weakness in IT access controls.
