Warner Bros. Discovery, Inc. — 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual filing, not a quarterly report. WBD’s 2022 merger with AT&T’s WarnerMedia business makes reported year-over-year comparisons difficult: 2022 actual results include WarnerMedia only after the April 8 closing. Where available, management compares 2023 with 2022 pro forma combined results, adjusted for foreign exchange (ex-FX).
Business context
WBD operates Studios, Networks and direct-to-consumer (DTC) businesses, spanning film and television production, linear networks, streaming and gaming. Its services include Max, HBO Max and discovery+. The company reported 97.7 million DTC subscribers at year-end; its subscriber definition was updated in the fourth quarter to include Premium Sports Products.

Approximate margins calculated from reported figures: Adjusted EBITDA margin was 24.7%, operating loss margin was 3.7%, and net loss margin attributable to WBD was 7.6%. WBD had no borrowings under its $6.0 billion revolving credit facility or commercial paper program at year-end and reported covenant compliance. Management stated that cash, operating cash generation and revolver availability should cover short- and long-term cash needs.
Revenue mix and segment performance: Networks generated $21.244 billion of revenue and $9.063 billion of Adjusted EBITDA; Studios generated $12.192 billion and $2.183 billion; DTC generated $10.154 billion and $103 million. Corporate Adjusted EBITDA was negative $1.242 billion. Against 2022 pro forma combined results, ex-FX, DTC revenue rose 5% and Adjusted EBITDA improved by $2.150 billion; Studios Adjusted EBITDA fell 21%, and Networks Adjusted EBITDA fell 9%.
Material changes versus the prior comparable period
- Revenue declined 4% ex-FX on a pro forma combined basis. Advertising fell 13%, primarily due to linear audience declines and soft U.S. advertising markets. Distribution was flat; content revenue declined 4%.
- DTC reached positive Adjusted EBITDA of $103 million, compared with a $2.063 billion pro forma combined loss in 2022. Management cited pricing and partnership launches, ad-lite subscriber growth, and lower marketing and content costs.
- Operating cash flow increased $3.173 billion. Management attributed the increase mainly to higher net income excluding non-cash items, partly offset by working-capital movements. The 2023 strikes also delayed production spending and positively affected operating cash flow.
- Debt repayments included $4.0 billion of term loans, alongside note tenders and repayments; WBD issued $1.5 billion of 6.412% senior notes due 2026.
Outlook, risks and unusual items
- Restructuring: WBD expects total pre-tax restructuring charges of $4.1–$5.3 billion and had incurred $4.2 billion through year-end 2023, including $0.5 billion in 2023. Expected total cash expenditures are $1.0–$1.5 billion; the program is expected to be substantially complete by the end of 2024. The filing provides no quantified consolidated revenue or earnings guidance.
- Industry and execution risks: Management cited ongoing pressure on linear distribution and advertising, competition for viewers, subscribers, content and sports rights, uncertain streaming profitability, and potential effects of future labor disruptions. The 2023 WGA and SAG-AFTRA strikes delayed production and affected content delivery and film timing.
- Debt and commitments: Significant leverage and interest obligations constrain flexibility. Contractual obligations totaled $110.626 billion, including $43.953 billion of debt principal, $33.177 billion of estimated debt interest, and $24.072 billion of content purchase obligations.
- Valuation and accounting: No goodwill impairment was recorded in 2023, but fair value exceeded carrying value by only 5% for Networks and 15% for Studios. Management identified advertising softness, content licensing trends and DTC growth execution as monitoring concerns. A change to amortization methods for certain trademarks and franchises increased 2023 amortization expense by $368 million.
- Other items and contingencies: WBD disclosed a $521 million gross, undiscounted Six Flags guarantee through 2028; no liability was recorded and any loss is uncertain. Unrecognized tax benefits were $2.147 billion. A merger-related securities class action was dismissed with prejudice in February 2024. In February 2024, WBD finalized an agreement to sell its 50% stake in All3Media.
Most important facts for investors to verify
- Compare 2023 with the pro forma combined 2022 figures—not reported 2022 actuals—and review the assumptions behind those non-GAAP comparisons.
- Track whether DTC subscriber growth and positive Adjusted EBITDA persist, including the effects of the revised subscriber definition and Max expansion.
- Assess linear subscriber and advertising declines against DTC growth, and whether Studios can sustain content licensing and theatrical performance.
- Verify debt reduction, cash generation after content investment and capital expenditures, refinancing needs, and compliance with debt covenants.
- Monitor restructuring cash costs and completion, goodwill headroom—especially Networks—and the material content and other contractual commitments.
- Review contingent exposures, including the Six Flags guarantee and tax matters, and the terms and closing status of the All3Media sale.
