Allegion plc — Q2 2022 Form 10-Q
Reporting period: Three and six months ended June 30, 2022. Amounts are in U.S. dollars; financial statements are unaudited. Allegion provides security products and solutions through its Allegion Americas and Allegion International segments.
Financial performance
- Revenue: Q2 revenue was $773.1 million, up 3.5% year over year; first-half revenue was $1,496.7 million, up 3.9%. Pricing was the main growth driver, partly offset by lower volumes and unfavorable currency translation.
- Profit and margins: Q2 operating income was $147.1 million versus $145.4 million; operating margin declined to 19.0% from 19.5%. Net earnings attributable to Allegion were $115.1 million versus $118.7 million, and diluted EPS was $1.30 versus $1.31. For the first half, operating income fell to $264.1 million from $276.7 million, operating margin to 17.6% from 19.2%, attributable net earnings to $208.1 million from $226.7 million, and diluted EPS to $2.35 from $2.49.
- Segment trends: Q2 Americas revenue rose 7.8% to $592.3 million, while segment operating income rose 2.1% to $153.6 million; margin was 25.9% versus 27.4%. International revenue declined 8.5% to $180.8 million and segment operating income declined 37.0% to $11.4 million; margin was 6.3% versus 9.2%. Currency, lower volumes and mix weighed on International results.
- Cash flow: First-half operating cash flow was $109.1 million, down from $267.5 million, primarily due to working-capital changes and lower earnings. Capital expenditures were $24.6 million versus $17.9 million. Cash and cash equivalents were $919.6 million at June 30, 2022, compared with $397.9 million at year-end 2021.
- Debt and liquidity: Total borrowings outstanding were $2,044.0 million at June 30, including $600 million of 5.411% senior notes due 2032; total debt after discounts and issuance costs was $2,030.7 million. The $500 million revolving facility had no borrowings at quarter-end, but Allegion drew $340 million on July 1 to help fund its acquisition. The company reported covenant compliance and expected liquidity to meet needs for at least 12 months.
Material changes and notable items
- Q2 revenue growth reflected 8.4% pricing, offset in part by a 2.0% volume decline and 3.0% adverse currency impact. For the first half, pricing contributed 7.2%, while volume and currency reduced growth by 0.8% and 2.5%, respectively.
- Management attributed first-half margin pressure to inflation and productivity challenges exceeding pricing benefits, alongside unfavorable currency, higher investment spending, and restructuring/acquisition expenses. Q2 operating income increased modestly, but margin still declined.
- On July 5, 2022, Allegion completed its $923.1 million acquisition of Stanley Access Technologies, a North American automatic-entrance business with approximately $340 million of 2021 revenue. It will join Allegion Americas. The filing anticipates approximately $20 million of additional acquisition and integration expenses in the second half of 2022.
- The company issued $600 million of 5.411% senior notes in June. Q2 interest expense included $4.3 million of third-party financing costs related to the acquisition; rising interest rates also contributed to higher borrowing costs.
- First-half dividends were $0.82 per share; Allegion repurchased approximately 0.5 million shares for $61.0 million. Approximately $140.5 million remained under the repurchase authorization at June 30.
Outlook, risks and contingencies
- Management reported robust demand for non-residential products, especially in Americas, but softening demand for Americas residential products and weaker International demand, including impacts from China lockdowns and the war in Ukraine. It expected supply-chain, labor and electronic-component shortages to persist through 2022, with continued inflation pressure.
- Management expected pricing momentum to support revenue growth and help offset inflation during the remainder of 2022. It also expected Americas residential revenue to return to growth in the second half; these are expectations, not guaranteed results. No numerical full-year earnings or revenue guidance is provided in the supplied filing text.
- Risks include supply-chain constraints, inflation, foreign exchange, interest rates and added acquisition-related leverage, as well as acquisition integration, cybersecurity, macroeconomic and geopolitical uncertainty. The filing says there were no material changes to previously disclosed risk factors and no material changes in market-risk exposure during Q2.
- Allegion reported routine litigation, claims and proceedings, and stated pending matters were not expected to have a material adverse effect. Environmental reserves were $14.4 million at June 30, 2022; management noted ultimate remediation costs remain uncertain.
