Business context

Ambow is a Cayman Islands holding company whose continuing operations are in the United States. Following the 2022 sale of its China operations, its education business centered on NewSchool of Architecture & Design in San Diego and development of HybriU, an AI-enabled hybrid-learning platform. Bay State College closed on August 31, 2023, after its accreditor’s decision to withdraw accreditation.

Revenue fell 37.8%, primarily because of Bay State College’s closure. Gross margin improved as teaching, payroll and other costs declined with the closure; management also attributed part of the change to allocating certain rent expense to general and administrative costs. Operating expenses declined 30.6% to $6.799 million, while 2023 included $0.484 million of HybriU research and development spending. Other income was $1.144 million, including a $1.400 million gain on disposal of Bay State College curriculum assets. The 2022 loss included $5.056 million from discontinued operations.

At year-end, cash and cash equivalents were $4.834 million and restricted cash was $5.221 million. Current assets exceeded current liabilities by $2.724 million; total assets were $20.566 million, total liabilities $14.138 million and equity $6.428 million. Short-term borrowings totaled $3.939 million: a $2.439 million East West Bank loan, repaid January 8, 2024, and a $1.500 million Cathy Bank loan due October 2024 at 6.29%. Lease liabilities totaled $6.835 million, with $7.095 million of undiscounted lease payments remaining. The filing reports a $1.467 million long-term receivable related to Bay State College, net of a $0.769 million credit-loss allowance.

Ambow raised approximately $1.9 million net in a February 2023 offering of shares and warrants. Weighted-average basic and diluted loss from continuing operations was $0.06 per ordinary share; reported loss per ADS was $1.20 using the pre-February 2024 ADS ratio. On February 20, 2024, the ratio changed from two to twenty Class A shares per ADS, equivalent to a 1-for-10 ADS reverse split.

Outlook, commentary and material risks

  • Management believes available cash and expected operating cash flows should cover anticipated needs for at least 12 months after issuance of the financial statements, and prepared the statements on a going-concern basis. It also expects to need additional capital for its longer-term plan and gives no assurance it can raise funds if needed. Management says future profitability is uncertain.
  • HybriU is an investment and growth initiative, but adoption, commercialization, revenue generation and returns are uncertain; development spending could pressure margins and operating results.
  • NewSchool’s Title IV eligibility is important. Its 2022 financial-responsibility score was 1.6; the 2023 audit was still in process at filing, and management estimated it would meet the required 1.5 minimum. Management also estimated NewSchool would comply with the 90/10 rule, with the 2023 calculation still pending audit.
  • Bay State College’s closure reduced revenue and leaves related receivables and other obligations to monitor. In January 2024, it transferred its accounts-receivable portfolio for $0.7 million; the transaction was finalized January 4.
  • Other risks include intense competition, enrollment and staffing challenges, regulatory exposure, data privacy and cybersecurity, execution of new products, access to financing, and NYSE American continued-listing requirements. The company previously received a low-price compliance notice. It reported no material cybersecurity incidents as of the report date.
  • The filing reports no material legal proceedings as of December 31, 2023 and no dividends paid or currently intended. The auditor issued an unqualified opinion on the financial statements. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor was not engaged to attest to internal-control effectiveness.

Most important facts to verify

  1. NewSchool’s finalized 2023 Title IV financial-responsibility score and 90/10 calculation, and continued accreditation and federal-aid eligibility.
  2. Cash availability after accounting for restricted cash, debt repayments, lease payments, and the collection and recoverability of Bay State College-related receivables.
  3. HybriU customer adoption, commercial deployments, revenue contribution, and spending requirements relative to management’s growth claims.
  4. Funding needs and sources beyond the stated 12-month liquidity outlook, including any new borrowing or equity issuance and resulting dilution.
  5. NYSE American listing compliance and the effect of the ADS ratio change on trading, per-ADS comparisons, and investor holdings.
