  • Management said available cash, investments and expected operating cash flows should cover anticipated needs for at least 12 months after issuance of the financial statements, while noting longer-term capital may be needed and additional funding is not assured. The auditor identified the going-concern assessment as a critical audit matter; this is not a separate modification of its audit opinion.

Material changes and unusual items

  • Revenue declined mainly because of the planned sale of compulsory-education operations and the regulatory restrictions that affected tutoring. The company closed some tutoring centers and reduced staff. It attributed improved gross margins and lower operating expenses to cost controls and business streamlining.
  • New private-education implementing rules effective September 1, 2021 prompted a definitive agreement to sell the Shuyang K-12 school and compulsory-education operations at Changsha and Shenyang schools. The sale was still in registration at year-end; related assets of RMB 132.7m and liabilities of RMB 83.2m were classified as held for sale. The filing says post-August 31 operating results belonged to the buyer under the agreement and were not recorded by Ambow.
  • The RMB 59.1m income-tax benefit principally reflected reversal of RMB 62.8m of tax payable after a five-year claw-back period expired. FY2021 also included a RMB 9.3m PPP-loan forgiveness gain, RMB 12.2m gain on subsidiary disposals and RMB 1.3m gain from deregistrations. These items helped lift reported net income despite an operating loss.
  • Impairment losses totaled RMB 10.5m, including RMB 8.9m on intangible assets; no goodwill impairment was reported for 2021. Research and development expense increased 154% to RMB 14.5m.
  • The company reported no significant indemnification claims that were probable or reasonably possible and no material subsequent event. The auditor issued an unqualified opinion on the financial statements. Management reported effective disclosure controls and internal control over financial reporting; the auditor did not provide an ICFR attestation.

Outlook, risks and contingencies

No specific revenue or earnings guidance is provided. Management cited uncertain future profitability and possible COVID-19 effects. Principal risks include evolving Chinese education rules and tutoring restrictions, dependence on VIE contractual arrangements, government oversight and uncertainty around overseas-listing and data-security rules, student enrollment and competition, and the ability to generate cash and obtain financing. The company also faces restrictions on moving cash from China and on distributions from subsidiaries and VIEs. Its ADSs trade on NYSE American under AMBO; the filing discusses continued-listing and HFCA Act/PCAOB inspection risks.

Important facts for investors to verify

  • Whether the K-9 business sale completed, its final consideration and any resulting gain or loss, and how much revenue and cash flow remain after the disposal.
  • Whether operating cash flow improves and whether cash and investments are available to the parent, given the working-capital deficit, VIE structure and restrictions on transfers from China.
  • The basis and final tax treatment of the RMB 62.8m reversal, including whether any tax authority can challenge it.
  • Collection prospects for material receivables and advances, including RMB 49.8m due from Xihua Group, RMB 35.0m related to Zhenjiang operating rights, and RMB 103.0m of deposits and loans associated with Ruiheng.
  • How tutoring regulation, enrollment trends and U.S. college Title IV requirements affect future revenue, margins and liquidity; FY2021 90/10 compliance estimates for the U.S. colleges were still subject to audit.
