Business context and reporting period
Ambow provided education and career-enhancement services in China through tutoring, K–12 schools and career-enhancement programs. - Revenue fell 23.2% year over year. Tutoring revenue declined to RMB 68.2 million from RMB 157.4 million; K–12 revenue was RMB 168.2 million versus RMB 183.7 million; career-enhancement revenue was RMB 175.6 million versus RMB 195.4 million.
- Gross margin improved to 33.5% from 32.6%, which management attributed mainly to lower employee costs and expense control. General and administrative expense rose to RMB 508.5 million, or 123.4% of revenue.
- Operating expenses totaled RMB 893.8 million, including RMB 292.6 million of impairment losses. Other expense was RMB 267.9 million, including RMB 121.8 million of interest expense and RMB 143.9 million of debt-extinguishment loss.
- Year-end short-term borrowings were RMB 39.6 million; the convertible loan’s reported carrying amount was RMB 13.5 million after discount. Operating, investing and financing cash flows were respectively negative RMB 160.4 million, positive RMB 112.0 million and positive RMB 87.0 million.
Material changes versus the prior comparable period
- Revenue continued its decline from RMB 536.5 million in 2013. Management cited lingering negative publicity, lower student enrollment and increased refund requests.
- Net loss widened by RMB 172.4 million. Higher impairment charges and debt-related expense more than offset lower selling and marketing and research and development costs.
- Software-product sales remained suspended: the company reported no such sales in 2013 or 2014, although it did not classify the software business as discontinued.
- Cash increased from RMB 99.0 million, but current liabilities exceeded current assets by approximately RMB 478.6 million, and equity moved from a surplus to a deficit.
- Ambow deconsolidated Jilin Tutoring in September 2014 after losing effective control. The Jinghan Group was classified as held for sale at year-end and disposed of in April 2015.
Outlook, risks, contingencies and unusual items
- Liquidity and outlook: Management said available cash and expected proceeds would cover anticipated needs for at least 12 months after issuance of the financial statements, while acknowledging continuing losses, a need for additional capital for its longer-term plan, and no assurance that funding could be raised. Plans included cost control, lower capital spending, resource realignment and potential sales of non-core assets. No quantified revenue or earnings guidance is provided.
- Subsequent asset sale: The Jinghan Group sale was completed April 8, 2015 for stated consideration of RMB 1.2 billion, with RMB 700 million of associated funding and liability obligations; reported net proceeds were RMB 500 million. RMB 135 million had been received by year-end and the remaining RMB 365 million by March 2015. The sale also removed RMB 175.4 million of lease commitments.
- Debt restructuring and dilution: 2014 restructuring amended the convertible financing at a substantially lower conversion price and generated the RMB 143.9 million debt-extinguishment loss. In March 2015, remaining convertible loans were converted into shares; the filing says the US$48 million facility was fully converted into 972.8 million Class A shares. CEIHL held 56.05% and Baring 8.68% after reported conversions.
- Significant unusual charges and exposures: The company recorded RMB 292.6 million in impairment losses. It also recorded RMB 157.4 million in share-based compensation in the cash-flow reconciliation, including RMB 94.4 million associated with a favorable share transfer to an entity controlled by the CEO. A school reported RMB 54.0 million of tuition cash misappropriated by a minority shareholder; the amount was fully provided for.
- Tax and litigation: A tax authority cancelled Ambow Online’s preferential tax treatment and sought RMB 7.3 million of tax plus RMB 3.4 million of late charges; RMB 10.7 million was accrued, and the company appealed after an adverse court ruling. Skillsoft pursued consolidated claims stated at US$7.3 million; the filing says the outcome was too early to assess. A RMB 168.0 million claim involving Changsha K–12 was dismissed by the provincial court but appealed. The U.S. securities class action settlement was approved, with a RMB 9.1 million payment to be funded by the insurer, subject to completion of dismissal documentation.
- Controls and governance: Management concluded disclosure controls and internal control over financial reporting were ineffective at December 31, 2014. Identified material weaknesses included inadequate oversight of complex transactions and weak controls over tuition cash at Shenyang K–12. The auditor issued an unqualified opinion on the financial statements but did not audit internal-control effectiveness. The ADSs were delisted from the NYSE on October 6, 2014 and quoted on OTC Markets.
- Structural and operating risks: The company depends on VIE contracts to conduct regulated China education operations; enforceability and future regulation, including a draft foreign-investment law, remain uncertain. Other disclosed risks include enrollment and teacher retention, competitive pressure, property-title defects, tax treatment, restricted cash transfers from China, and continued effects of negative publicity.
