- Management’s non-GAAP adjusted diluted EPS was $2.06 for Q3, up 40.1%, and $5.63 for nine months, up 38.3%. These measures exclude specified acquisition-related items, acquired-intangible amortization, share-based compensation and special charges; they are not substitutes for GAAP results.
- Operating cash flow was $243.9; capital expenditures were $61.8, implying operating cash flow less capital expenditures of approximately $182.1. Cash ended at $337.0, down $419.8 from August 31, 2015, primarily after $613.7 of acquisition spending.

Material changes and business developments
- Fiscal 2016 acquisitions included Distech Controls, Juno Lighting and Geometri. The company reported aggregate cash consideration, net of cash acquired, of $613.7. Acquisitions contributed approximately 12% of Q3 sales growth and 9% of nine-month growth, according to management.
- Acquisition accounting remained preliminary. The acquisitions added $324.0 of goodwill and $241.2 of identified intangible assets in the preliminary allocation; valuations may change as purchase accounting is finalized.
- Management attributed sales growth primarily to higher volume, including stronger demand for LED luminaires. LED products represented approximately 60% of Q3 sales and more than 55% of nine-month sales. Unfavorable price/mix, mainly LED pricing, and foreign exchange partly offset growth.
- Fiscal 2016 special charges were $10.2 for organizational streamlining and acquisition integration, including severance and employee-related costs. The Q3 charge was $9.7. Management expects annual savings of at least twice the charge, with the full annualized run rate by the end of Q1 FY2017, and anticipates additional related costs in Q4 FY2016.
Outlook, risks and unusual items
- Management expects acquisitions to be accretive to fiscal 2016 consolidated results. It forecast mid-to-upper-single-digit growth in the North American lighting market for the remainder of fiscal 2016 and said company order rates through June reflected favorable trends. No specific full-year revenue or EPS guidance was provided.
- The company expected fiscal 2016 capital investment of approximately 2.5% of net sales and estimated a Q4 effective tax rate of approximately 35.5%, before discrete items and assuming tax-jurisdiction rates remained generally consistent.
- Management cited uncertainty and financial-market volatility following the U.K. referendum vote to leave the European Union, while remaining positive about growth prospects. It also identified economic conditions, market demand, pricing and competition, customer and supplier relationships, execution of integration and streamlining plans, and legal and other contingent liabilities as risks.
- Distech Controls had identified possible past shipments to a sanctioned country that may have violated U.S. or Canadian trade rules. It self-reported the matter and cooperated with regulators; management did not expect a material adverse effect, but noted penalties or costs could exceed the indemnity. The company was also reviewing possible import/export classification errors and could not estimate the likelihood or amount of any loss.
- Warranty and recall reserves rose to $14.2 from $11.1 a year earlier; warranty and recall costs were $18.8 for the nine-month period. The filing warns that actual future costs could exceed historical experience.
- Management stated that disclosure controls were effective at a reasonable assurance level. Acquired Distech Controls and Juno Lighting were not yet included in management’s internal-control assessment.
Investor verification priorities
- Verify final purchase-price allocations, acquired-business contributions and whether the acquisitions deliver the expected accretion and integration savings.
- Track organic sales, LED product pricing and mix, volume, foreign-exchange effects, and gross and operating margins against the reported growth.
- Assess cash conversion, working-capital needs, capital spending, cash balances, debt maturities and continued compliance with credit-facility covenants.
- Follow the trade-compliance reviews, any regulatory response or penalties, the sufficiency of indemnification, and developments in warranty, recall and litigation exposures.
- Compare actual results with management’s market-growth, tax-rate, capital-investment and cost-savings expectations; consider that results are seasonal and interim performance may not indicate full-year results.
