Material changes and unusual items
- Sales volume increased about 15%, while unfavorable price/mix and foreign exchange each reduced reported growth by about 1%. LED-luminaire sales rose 57% and reached 46% of total sales, compared with 33% in FY2014.
- Gross-margin improvement reflected higher sales, lower material and component costs, and improved manufacturing productivity, partly offset by unfavorable price/mix and currency effects.
- Reported FY2015 results included $12.4 of special charges, $3.2 of acquisition-related professional fees, and a $2.6 pre-tax loss on financial instruments connected to the planned Distech purchase. Adjusted diluted EPS, a non-GAAP measure, was $5.39 versus $3.97.
- The Company acquired ByteLight during FY2015 and made a strategic non-controlling investment. Distech was acquired after year-end for approximately $255 million, funded with cash on hand.
- Defined-benefit plan funded status worsened: pension liabilities recognized on the balance sheet were $85.5 versus $66.3 a year earlier. Other comprehensive loss was $38.5, including currency translation and pension-related losses.
Outlook, risks, and contingencies
Management projected mid-to-upper-single-digit growth for the North American lighting market in FY2016 and expected Acuity to outperform its markets. It expected Distech to be modestly accretive to FY2016 results. Planned FY2016 capital spending was approximately 2.5% of net sales; the estimated effective tax rate was about 35.5% before discrete items. Longer-term management goals include mid-teens-or-higher operating margins, annual EPS growth above 15%, return on equity of at least 20%, and operating cash flow less capital expenditures exceeding net income; these are goals, not FY2016 guidance.
Key risks include construction-market cyclicality, pricing pressure and input-cost volatility, competition and rapid LED/control technology change, dependence on The Home Depot (11% of FY2015 sales), and manufacturing and sourcing concentration in Mexico. About 69% of the workforce was covered by collective bargaining arrangements, with agreements covering about 62% of the workforce expiring within one year. The Company also cites cyber and operating-system disruptions, product warranty/recall exposure, environmental and legal contingencies, foreign-exchange exposure, and pension assumptions as risks. Management said pending legal proceedings were not expected to have a material adverse effect, but unfavorable developments could be material.
Distech disclosed potential past shipments that may have violated U.S. or Canadian sanctions/export rules; it estimated related revenue at approximately $0.3 and had self-reported the matter. Former owners provided an indemnity supported by escrow, which Acuity believed would be sufficient, while warning that damages, penalties, or reputational harm could exceed coverage.
Important facts for investors to verify
- Whether reported sales and margin momentum continues, particularly as LED pricing and product mix evolve.
- Distech’s integration, actual contribution to FY2016 results, and any costs or liabilities related to the disclosed trade-compliance matter.
- Cash conversion and working-capital trends: operating working capital increased approximately $38.1 during FY2015.
- Exposure from Mexico-centered manufacturing, labor-agreement renewals, input costs, and customer concentration.
- Potential changes in pension funding needs, self-insured warranty/recall costs, and legal or environmental reserves.
