  • Excluding Cochran closure and related streamlining costs, adjusted gross margin was 41.0%, adjusted operating margin 11.7%, adjusted net income $127.9 million, and adjusted diluted EPS $3.00. These are non-GAAP measures; reported results include the costs.
  • Revenue growth reflected approximately 5% higher volume and favorable price/mix contributing slightly less than two percentage points. LED-based luminaires represented almost 10% of sales.
  • FY2012 cash and cash equivalents were $284.5 million, up $114.3 million. Total debt was $353.5 million, essentially unchanged; stockholders’ equity was $834.0 million. Debt-to-total-capitalization was 29.8%, versus 31.8% a year earlier.
  • Current assets were $779.0 million and current liabilities $364.8 million. The company had $244.3 million of additional capacity under its $250 million revolving facility at year-end and reported covenant compliance.
  • Quarterly FY2012 sales were $474.3 million, $457.7 million, $487.5 million, and $514.3 million; Q4 net income was $33.3 million and diluted EPS $0.78. Compared with Q4 FY2011, sales rose from $496.2 million, while net income declined from $34.2 million and diluted EPS from $0.79.

Material changes and unusual items

  • FY2012 included $13.3 million of special charges, principally severance and production-transfer costs, plus $4.4 million of related costs recorded in cost of products sold: $3.2 million of manufacturing inefficiencies and $1.2 million of inventory impairment. The costs related mainly to closing the Cochran, Georgia facility and other streamlining actions.
  • Management expected the Cochran production transfer and closure to be substantially completed by the end of Q1 FY2013. It forecast approximately $2.0 million of additional special charges and $3.0 million of related inefficiency costs in that quarter. Expected annualized savings were approximately $14 million, including about $4 million realized in FY2012’s second half.
  • Gross-margin improvement was modest on a reported basis; higher material/component and freight costs partly offset pricing, volume, and productivity benefits. The effective tax rate rose to 35.0% from 33.1%.
  • Operating cash generation improved, but inventory increased by $28.6 million, primarily due to raw-material costs, production-transfer service buffers, and strategic purchases. Capital spending also increased.

Outlook, risks, and contingencies

  • Management cited market forecasts for modest U.S. non-residential construction growth in FY2013 and estimated North American lighting-market growth in the mid-single digits, while noting recent market deceleration and macroeconomic uncertainty. It expected to pursue growth through renovation/tenant improvements, geographic and channel expansion, and new products; it did not provide a specific company revenue or EPS forecast.
  • Management estimated a FY2013 effective tax rate of approximately 35%, subject to conditions in tax jurisdictions; planned approximately $40 million of FY2013 capital investment; and said it expected liquidity to cover near-term needs. The company planned quarterly dividends at an annual rate of $0.52 per share, subject to board approval.
  • Key exposures include construction-market cyclicality, competitive and technology change (especially LED), pricing and raw-material/component availability and costs, customer concentration, and international operating and currency risks. The Home Depot represented about 10% of FY2012 sales; roughly 48% of products sold were manufactured in Mexico.
  • Other risks include execution of facility consolidation, labor negotiations, environmental and product-liability matters, and self-insured warranty, recall, and patent risks. Approximately 55% of the workforce was covered by collective bargaining agreements expiring within one year.
  • Management said pending legal proceedings were not expected to have a material adverse effect based on information then available, but noted outcomes could differ from reserves. The company also disclosed indemnities related to the Zep spin-off without a stated maximum potential liability; management did not expect likely payments to be material.
  • Goodwill of $554.9 million and indefinite-lived trade names of $96.1 million were not impaired in FY2012. These valuations depend on estimates and assumptions. The auditor gave unqualified opinions on the financial statements and internal control over financial reporting; management also assessed controls as effective.

Important facts for investors to verify

  • Whether the Cochran closure and production transfer achieved the stated timing and approximately $14 million annualized savings, and whether further costs arose.
  • Whether sales growth, pricing, and operating margins held up as lighting and construction markets slowed, and whether cost inflation was passed through.
  • Cash conversion and working-capital trends, particularly inventory, against the higher FY2012 capital spending and planned FY2013 investment.
  • Execution of the FY2013 market outlook and the sustainability of LED growth, given competitive, product-warranty, and technology risks.
  • Customer concentration, Mexico-related operating/currency exposure, labor contract renewals, and developments in legal, environmental, tax, and self-insurance contingencies.
  • Debt maturity and liquidity: $353.5 million of debt was outstanding, with principal due after FY2018; verify covenant headroom and ongoing dividend and repurchase decisions.
