Revenue mix and material changes

  • Wholesale revenue rose 51% to $60.4 million, principally from expansion in food, drug and mass retail and higher ready-to-drink sales.
  • DTC revenue fell 11% to $32.6 million; Outpost revenue fell 20% to $5.4 million, with lower customer acquisition and store transaction volumes cited.
  • Gross margin improved 9.9 percentage points. Management attributed the change to channel and product mix, RTD and warehousing productivity, and lower green coffee costs.
  • Operating expenses declined 15% to $38.2 million, including lower salaries and general and administrative costs following prior-year headcount and infrastructure reductions. Marketing expense increased 7% to $7.6 million.
  • Net interest expense rose to $2.1 million from $0.3 million, reflecting higher average debt and higher rates following the 2023 refinancing.

Cash, debt and liquidity

  • At March 31, cash and cash equivalents were $4.0 million; restricted cash was $1.5 million. Working capital was $6.3 million.
  • Debt principal totaled $66.8 million, comprising a $50.0 million term loan, $14.7 million drawn on the ABL facility, and $2.1 million of notes payable. Debt net of issuance costs was $61.5 million.
  • Available ABL borrowings were approximately $11.5 million after a required $15.0 million availability reduction. Availability fell below $15.0 million during Q1, triggering cash dominion, under which certain proceeds are applied to ABL borrowings.
  • The company reported $10.7 million of net cash used in financing activities, primarily reflecting debt repayments. Management stated that available liquidity sources should be sufficient for ordinary-course needs and commitments for at least the next 12 months, subject to borrowing-base and covenant conditions.

Outlook, risks and unusual items

  • No numerical revenue or earnings guidance is provided. Management expects limited Outpost growth in 2024 while it evaluates the retail strategy; it may close underperforming stores and expects to shift investment among channels.
  • The company recognized $8.5 million of revenue in Q1 from inventory exchanged for prepaid advertising credits. This was noncash consideration and is a material item to distinguish from cash sales.
  • A March change to the loyalty-points expiration policy reduced deferred revenue by $3.4 million based on revised expected redemptions.
  • Purchase commitments totaled $136.1 million as of March 31, 2024. The filing also describes approximately $3.8 million of expected lease payments over the next 12 months and approximately $44.0 million thereafter through 2043.
  • One wholesale customer and its affiliate accounted for 29% of Q1 revenue. Coffee and other commodity costs, supply-chain execution, customer concentration, interest rates, and inflation are identified risks. A hypothetical 5% increase in rates on outstanding variable-rate debt would add approximately $3.2 million in annual interest expense.
  • Disclosure controls and procedures were reported ineffective due to a material weakness in internal control over financial reporting. Management said remediation was underway and estimated completion before the end of Q2 2024.
  • In the Tang Capital warrant dispute, the claimant seeks $10.5 million plus prejudgment interest; the company says it cannot estimate the outcome or potential loss. Two other warrant/royalty disputes are also disclosed, with outcomes not estimable. The company states it does not expect ordinary-course legal matters overall to have a material adverse effect.

Key facts for investors to verify

  • How much of reported revenue growth and margin improvement is sustainable, particularly given the $8.5 million noncash advertising barter revenue?
  • Whether Wholesale expansion can offset continued DTC and Outpost declines, and the effect of any Outpost closures.
  • ABL availability, cash-dominion status, covenant compliance, and the company’s ability to meet debt service and purchase commitments.
  • Progress and completion of the disclosed internal-control remediation, and the status and potential exposure of the legal disputes.
