Ciena Corporation (CIENA) — Q2 FY2024 Form 10-Q
Reporting period: Quarter and six months ended April 27, 2024. Figures below are unaudited; dollar amounts are in millions except per-share data.
Business context and reporting period
Ciena sells networking hardware, software and services to communications service providers, cloud providers, enterprises and other network operators. Results reflect a period of lower customer ordering and shipment deferrals, particularly among communications service providers, following elevated orders during prior supply constraints.

Platform Software and Services grew 23.0% and Global Services grew 5.4%; Blue Planet revenue decreased 29.8%. For the first six months, revenue decreased 11.0%.
Q2 gross margin declined 40 basis points, primarily due to lower manufacturing efficiencies and higher inventory excess and obsolescence costs. Six-month gross margin improved 80 basis points year over year, supported by lower component costs and improved software-services margins. Q2 operating expenses rose 2.0% to $392.6 million, while revenue declined; restructuring and impairment costs were $15.7 million.
Cash flow, debt and liquidity
- Operating cash flow: $324.5 million for the first six months, versus cash used of $35.8 million in the prior-year period. Management attributed $112.7 million of the current-period cash generation to working capital, including improved collections and lower sales volume.
- Investing and financing: Investing activities used $138.7 million, including $33.5 million of capital expenditures and a $16.3 million equity investment. Financing activities used $107.8 million, including $94.8 million of stock repurchases.
- Cash and investments: $1.423 billion at April 27, 2024, up $173.2 million from October 28, 2023. This includes $1.091 billion in cash and cash equivalents.
- Debt: Balance-sheet carrying value was approximately $1.552 billion, including the current portion. The company had a $1.2 billion principal term loan maturing in 2030 and $400 million of 4.00% senior notes due 2030. The term loan’s stated rate was 7.32% at quarter-end; swaps hedge portions of floating-rate exposure.
- Liquidity access: A $300 million revolving credit facility had no borrowings outstanding; $70.5 million of letters of credit were issued under it. Management said available resources are expected to meet anticipated needs through the next 12 months and foreseeable future.
Material changes, outlook and risks
- Management said customer orders were below revenue during fiscal 2023 and the first half of FY2024. North American communications service providers are working through previously acquired inventory and face deployment constraints; some international customers remain cautious. These conditions are expected to persist in FY2024, with any recovery gradual.
- Backlog declined to $1.9 billion at Q2 end from $4.2 billion at FY2022 end. Management expects revenue to rely increasingly on new orders, including orders converted to revenue in the same quarter. Backlog timing is subject to customer readiness and delivery rescheduling and is not necessarily a reliable indicator of revenue for a particular period.
- Remaining performance obligations were $1.5 billion, with approximately 78% expected to be recognized within 12 months. This is a separate measure from reported backlog.
- Inventory was $1.023 billion, down from $1.051 billion at FY2023 year-end. The company recorded a $23.2 million inventory excess and obsolescence provision in the first half, primarily reflecting lower forecast demand for certain Networking Platforms products. Some customer deliveries were rescheduled outside Q2.
- Restructuring charges totaled $20.6 million in the first half, including a global workforce reduction of approximately 360 employees and costs related to facilities and process changes.
- The company cited risks from order growth and customer delivery timing, international operations and foreign exchange, global supply-chain dependencies, geopolitical developments, and climate-related disruption. It reported $1.6 billion of purchase-order commitments to suppliers, though only a portion was firm, non-cancelable and unconditional. Management did not expect ordinary-course tax or litigation matters to have a material financial effect.
- The filing provides no specific numerical revenue or earnings guidance. Management identified cloud adoption, 5G, high-definition video, generative AI, and network resilience and automation as longer-term demand opportunities.
- After quarter-end through May 31, Ciena repurchased an additional 0.5 million shares for $24.0 million; $137.0 million remained under the authorization. Disclosure controls were assessed as effective, with no material change in internal control over financial reporting reported.
Most important facts for investors to verify
- Whether customer orders recover, especially from communications service providers, and whether backlog converts to shipments without further deferrals.
- Whether gross margins and manufacturing efficiency improve, and whether inventory reserves or product demand forecasts require further adjustments.
- Whether operating cash generation remains strong as working-capital benefits and lower sales volume change, and how inventory and supplier commitments evolve.
- Floating-rate debt costs, hedge coverage and the company’s use of cash for repurchases versus investment and debt management.
- Performance of Networking Platforms relative to software and services, including continued losses in Blue Planet Automation Software and Services.
