Ciena Corporation — Q1 FY2012 Form 10-Q
Reporting period: Three months ended January 31, 2012. Ciena supplies communications-network equipment, software and services. Fiscal 2012 is a 53-week year, with the extra week in Q4.
Financial results
| Metric | Q1 FY2012 | Prior-year quarter |
|---|---|---|
| Revenue | $416.7 million | $433.3 million |
| Gross profit / margin | $167.8 million / 40.3% | $168.5 million / 38.9% |
| Operating loss | $31.2 million | $73.9 million |
| Net loss / diluted loss per share | $47.7 million / $0.49 | $79.1 million / $0.84 |
| Operating cash flow | $12.9 million provided | $63.7 million used |
- Revenue declined 3.8% year over year. Product revenue fell 5.3% to $333.7 million; services revenue rose 2.6% to $83.0 million.
- Operating expenses decreased 17.9% to $198.9 million, reflecting lower acquisition and integration costs and intangible amortization, partly offset by higher selling and marketing expense. Interest and other income shifted from $6.3 million income to $4.9 million expense, largely due to a smaller non-cash gain on the embedded redemption feature and foreign exchange effects.
- Gross margin improved year over year, but management reported it declined sequentially from 41.7% in Q4 FY2011, citing competitive pricing pressure. Net loss also increased sequentially from $22.3 million to $47.7 million.
- Segment revenue: Packet-Optical Transport $266.3 million (down 7.1%); Packet-Optical Switching $43.4 million (up 23.1%); Carrier-Ethernet Solutions $21.9 million (down 20.7%); Software and Services $85.1 million (up 1.4%). Carrier-Ethernet recorded a $6.1 million segment loss; the other three segments reported segment profit.
- Cash and cash equivalents were $550.5 million, with $50.2 million in short-term U.S. Treasury investments, totaling $600.7 million in cash and investments. Current assets were $1.375 billion against current liabilities of $456.7 million; stockholders’ equity was a deficit of $21.1 million.
- Convertible notes had $1.442 billion carrying value and approximately $1.441 billion aggregate principal. Cash and investments were therefore substantially below principal debt. Management said available liquidity should meet operating, capital and other needs for at least 12 months.
Changes, outlook and notable items
- U.S. revenue rose 5.8% to $233.1 million, while international revenue fell 13.8% to $183.6 million. One customer represented 19.3% of quarterly revenue.
- Management cited cautious customer spending, longer sales and deployment cycles, delayed revenue recognition and collections, seasonality, and intense competition—especially in Packet-Optical Transport. It expects quarterly results and margins to remain variable; no specific revenue or earnings guidance was provided.
- Thailand flooding had disrupted certain suppliers. Ciena reported recovery in some operations but warned shortages, longer lead times or additional costs could continue over the next several quarters.
- Inventory increased to $248.7 million. The quarter included an $8.2 million excess-and-obsolete inventory provision, primarily for design changes and discontinued components. Warranty provision was $7.7 million; the warranty liability rose to $49.0 million.
- Ciena recorded a cumulative C$7.0 million benefit under a conditional Ontario grant, of which C$5.0 million had been received. Funding is subject to investment, employment and project milestones and may be recouped if conditions are not met.
- Possible Mexican tax losses of up to $5.8 million were disclosed beyond $1.6 million accrued; management did not consider the additional losses probable. Patent infringement cases involving Cheetah Omni and Graywire remained pending. A prior securities class action appeal was dismissed without payment by Ciena.
- A new Maryland headquarters lease carries approximately $64.9 million in minimum rent over 15 years. A February 2012 amendment extended the Lab 10 lease by one year, with approximately C$8.8 million in additional annual payments, and shortened the Lab 2 lease to end in December 2012.
- Nearly all of $1.5 billion in net deferred tax assets was offset by a valuation allowance. Management reported disclosure controls were effective and no material quarterly change in internal control over financial reporting.
Investor verification priorities
- Assess whether revenue, international sales and customer concentration recover, and whether longer deployment and acceptance cycles continue to defer revenue.
- Monitor pricing, product mix and inventory reserves, particularly in Packet-Optical Transport and Carrier-Ethernet Solutions.
- Track operating cash generation, receivables and days sales outstanding, deferred revenue, and liquidity relative to convertible-note maturities and lease commitments.
- Review supply-chain recovery, Ontario grant milestone compliance, Mexican tax assessments and patent litigation developments.
