Segment performance
- Contractor Solutions: Revenue of $536.5 million, up 4.4%; operating income of $142.0 million, up 12.5%; margin improved to 26.5% from 24.6%. Growth reflected pricing, higher unit volumes, acquisitions, and lower freight costs.
- Specialized Reliability Solutions: Revenue of $149.6 million, up 1.5%; operating income of $22.3 million, up 10.4%; margin improved to 14.9% from 13.7%. Pricing and lower operating expenses supported profit growth.
- Engineered Building Solutions: Revenue of $114.7 million, up 10.4%; operating income of $18.7 million, up 45.1%; margin improved to 16.3% from 12.4%. Higher project volumes and pricing contributed; operating income also benefited from a $1.2 million property-sale gain.
Liquidity, debt, and capital allocation
At March 31, 2024, cash was $22.2 million, current assets were $331.4 million, and current liabilities were $115.8 million. Revolver borrowings were $166.0 million, down from $253.0 million a year earlier, leaving $334.0 million of borrowing capacity under the $500 million facility. The revolver matures in fiscal 2027; the company was in compliance with its financial covenants. The first $100 million of borrowing is hedged, leaving $66 million of unhedged variable-rate debt at a reported average rate of 6.68%.
Cash used in investing activities was $45.5 million, including $16.6 million of capital expenditures and acquisition-related spending. Cash used in financing activities was $114.1 million, including $87.0 million of net debt repayments, $10.5 million of share repurchases, and $11.8 million of dividends. Management said available cash, operating cash flow, and revolver capacity should meet liquidity needs for at least the next 12 months. The quarterly dividend was increased to $0.21 per share in April 2024; the current $100 million repurchase program expires December 31, 2024.
Material changes, acquisitions, and unusual items
- FY2024 revenue growth slowed to 4.6% from 21.0% in FY2023; organic growth was 3.1% versus 15.3% in the prior year.
- CSWI acquired Dust Free on February 6, 2024, for an aggregate purchase price of $34.7 million, including $6.8 million of initially estimated contingent consideration. Dust Free adds indoor-air-quality and HVAC/R products to Contractor Solutions.
- Other expense was $5.9 million, compared with near break-even other income in FY2023. The year included $8.5 million of noncash expense from expiration of tax indemnification assets related to the TRUaire and Falcon acquisitions, partly offset by gains including a $1.4 million gain on sale of investment property.
- A $1.5 million trademark impairment was recorded in Contractor Solutions. No goodwill impairment was recorded; goodwill was $247.2 million at year-end.
- The effective tax rate rose to 27.0% from 23.3%, principally reflecting state taxes and the tax-indemnification-asset release. The company reported $17.0 million of reserves for uncertain tax positions; $14.3 million related to TRUaire pre-acquisition tax periods.
Outlook, commentary, and risks
Management expects revenue and profit growth in each of the three segments in fiscal 2025, with strong operating cash generation, but gave no numerical guidance. It cited confidence in key end markets and its ability to outperform, while emphasizing disciplined acquisitions, organic growth, capital investment, and shareholder returns.
Key disclosed risks include economic weakness, inflation and interest rates, cyclical and seasonal demand, competitive and pricing pressures, raw-material and supply-chain disruption, reliance on independent distributors and third-party manufacturers, acquisition integration and valuation, foreign exchange exposure, cybersecurity, labor availability, environmental and regulatory requirements, and tax examinations. Management reported no material cybersecurity incident in FY2024 and no pending legal matter expected to have a material effect. The financial statements received an unqualified audit opinion; management and the auditor reported effective internal control over financial reporting. The auditor identified the valuation of Dust Free’s $20.1 million customer-list intangible asset as a critical audit matter.
Important facts for investors to verify
- Whether fiscal 2025 segment growth and cash-flow expectations are being met, particularly as HVAC/R demand is seasonal and revenue growth moderated materially from FY2023.
- Dust Free’s performance against the targets underlying its six-year contingent consideration and the final purchase-price allocation, which remained preliminary at year-end.
- The sustainability of margin gains from pricing and lower freight costs, and whether SG&A growth or the trademark impairment signals ongoing cost or brand pressures.
- Debt reduction, borrowing costs, covenant headroom, and the impact of variable rates on the $66 million unhedged balance.
- Potential cash or earnings effects from tax examinations and the $14.3 million TRUaire uncertain-tax-position reserve, as well as the remaining Falcon tax indemnification amounts.
- Capital allocation choices, including acquisition spending, the dividend increase, and repurchases under the program expiring December 31, 2024.
