Material changes versus the prior year

  • Revenue growth was led by general industrial (+$9.5 million), HVAC/R (+$9.2 million), and architecturally specified building products (+$7.0 million); mining declined $3.8 million.
  • Industrial Products revenue rose 10.4% to $205.9 million, with a 23.7% operating margin. Specialty Chemicals revenue rose 3.2% to $144.2 million, and its operating margin improved to 16.6% from 12.7%.
  • Management attributed margin and operating-income improvement to higher sales, sales leverage, prior restructuring savings, and asset-sale gains. FY2019 included $2.6 million of gains on sales of operating property and plant and equipment; other income also benefited from non-operating asset sales and currency transaction gains.
  • The Coatings business was classified as discontinued operations. Its sale generated $6.9 million of proceeds during FY2019. FY2018 net loss included a $46.0 million impairment charge associated with the business.
  • CSWI acquired MSD Research for $10.1 million in January 2019. Petersen Metals was acquired for $11.5 million on April 2, 2019, after year-end. The company described the acquisitions as strategically complementary and expected both to add to FY2020 EPS.
  • The effective tax rate declined to 25.0% from 32.3%, with the comparison affected by tax-law changes and prior-year repatriation and deferred-tax charges. Adoption of the revenue standard reduced opening retained earnings by $0.7 million and had no material effect on FY2019 revenue.

Outlook, risks, and other notable items

  • Management expected FY2020 sales to grow faster than served markets and earnings to grow faster than revenue, citing new products, market penetration, operational efficiency, and acquisitions. It gave no specific consolidated revenue or EPS target.
  • Planned FY2020 capital spending was 2.75%–3.25% of net sales, focused on organic growth opportunities, particularly HVAC/R, as well as maintenance and productivity improvements.
  • Management expected continued weakness in rail and mining relative to stronger HVAC/R and construction conditions. It anticipated HVAC/R growth above U.S. GDP, while plumbing and energy sales were expected to show no significant market change.
  • Key risks include economic and end-market cyclicality; competition and pricing; raw-material costs and tariffs; dependence on distributors and third-party manufacturers; acquisition valuation and integration; foreign-exchange movements; hazardous-material, environmental, and product-liability exposure; and debt covenant constraints.
  • The company reported no pending legal matters expected to have a material effect. The auditor issued an unqualified opinion on the financial statements, and management and the auditor reported effective internal control over financial reporting.
  • After year-end, CSWI announced a quarterly dividend of $0.135 per share. Future dividends remain at the board’s discretion.

Important facts for investors to verify

  • How much of FY2019 margin and earnings growth reflects recurring operations versus asset-sale gains and prior-year restructuring costs.
  • Whether expected FY2020 acquisition accretion and organic growth materialize, including the integration and purchase accounting for Petersen Metals.
  • The durability of demand in HVAC/R and commercial construction and the extent of continued rail and mining weakness.
  • Cash conversion, working-capital needs, planned capital spending, and debt capacity after acquisitions and substantial share repurchases.
  • Potential effects of raw-material prices, tariffs, foreign exchange, tax audits, and environmental or product-liability contingencies.
