Dakota Gold Corp. — Form 10-K Summary
Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter report; the filing does not provide separate Q4 financial results. Exploration expense rose with increased drilling, staffing, assays and study work. Four drill rigs operated during 2023; the company completed 89 holes totaling 174,659 feet on Maitland and Richmond Hill. Financing cash flow was $34.59 million, primarily from the Orion investment and ATM share sales. The company had no material conventional borrowings reported; year-end liabilities included $229,612 of lease liabilities and $85,332 of deferred tax liabilities. No operating margin is meaningful because the company had no revenue.
Changes, outlook and risks
- Net loss and operating cash use increased versus the prior transition period, but the reported periods differ in length. The company attributes higher cash use principally to full-year operation of four rigs, land staking and related exploration activity.
- In October 2023, Orion Mine Finance invested $17 million gross through a registered direct offering. The filing also describes a 1% royalty interest on certain properties, with up to $1 million consideration, and a right to match certain future financings, subject to stated exceptions and expiration terms.
- Management anticipated approximately $30 million of cash expenditures in 2024 and stated it expected available cash and ATM capacity to fund activities for the following 12 months. This depends on access to financing; if capital is insufficient, the company plans to scale back exploration to preserve more than 12 months of funding.
- Planned work included Richmond Hill resource and expansion drilling, continued Maitland exploration, and field work at other properties. The company’s plans and estimates are subject to exploration results, permitting, financing and other uncertainties.
- Key risks include no defined resources or reserves, recurring losses and reliance on outside capital, possible dilution, gold-price volatility, permitting and environmental obligations, property-title and access risks, and exploration, contractor and operational hazards. The company does not maintain environmental insurance.
- There were no material pending legal proceedings identified. The financial statements received an unqualified audit opinion from Ernst & Young LLP. The auditor identified stock-based compensation valuation as a critical audit matter; 2023 stock-based compensation expense was $4.32 million. Management reported effective disclosure controls and internal control over financial reporting; the auditor did not attest to internal controls.
- Subsequent event: a property and database purchase from VMC closed January 12, 2024 for stated consideration of $3.3 million, partly paid with 640,638 shares; the remaining $1.65 million may be paid in cash or shares within the specified period.
Most important facts for investors to verify

- Actual 2024 exploration spending, cash burn, ATM proceeds and remaining financing capacity, including whether liquidity supports management’s stated runway.
- The full terms and practical effect of Orion’s matching right, royalty arrangement and any future financing or dilution.
