Business context and reporting period
Energizer Holdings, Inc. (ENR) reported its third fiscal quarter and nine months ended June 30, 2015. The figures are unaudited carve-out results for the Household Products business, then part of Edgewell Personal Care (ParentCo). Edgewell completed the spin-off on July 1, 2015, distributing 62.2 million Energizer shares. The filing cautions that allocated corporate, financing and separation costs may not represent Energizer’s costs as a standalone company; its fourth fiscal quarter will be its first with standalone financial data.

Third-quarter sales were affected by unfavorable currency movements ($27.7 million), Venezuela deconsolidation ($6.8 million) and international go-to-market changes ($3.2 million); organic sales increased 0.1%. Nine-month organic sales declined 2.0%. Management said currency, Venezuela and go-to-market effects reduced third-quarter gross margin, while underlying margin rose 200 basis points excluding those impacts; the comparable nine-month underlying increase was 380 basis points.
Quarterly segment profit was $82.7 million, down 14.9%; nine-month segment profit was $296.5 million, down 6.2%. At June 30, current assets were $661.3 million and current liabilities $344.9 million. Shareholders’ deficit was $296.9 million. Nine-month capital expenditures were $31.1 million, compared with $21.3 million a year earlier.
Material changes versus the prior comparable period
- Quarterly GAAP results shifted from earnings of $36.3 million to a loss of $19.6 million. Nine-month results shifted from earnings of $110.8 million to a loss of $27.1 million. The reported periods include significant separation, restructuring, debt-retirement and Venezuela-related items.
- Quarterly SG&A rose to $108.2 million from $93.3 million, including $37.8 million of allocated spin costs. Advertising and promotion increased to $35.1 million from $27.7 million.
- Interest expense was $37.5 million for the quarter and $65.2 million year to date. The quarter included $26.7 million of allocated early-debt-retirement costs.
- Operating cash flow declined by $116.8 million year to date, which management attributed primarily to lower earnings, separation-related cash expenditures and lower segment profit.
- On June 30, Energizer had $400 million of term-loan principal and $600 million of 5.50% senior notes due 2025. The $250 million revolving facility had no borrowings; $238.7 million remained available after letters of credit. Debt proceeds were transferred to ParentCo in connection with the separation.
Outlook, management commentary and risks
- No specific sales or earnings guidance is provided. Management estimated normal-operation capital expenditures of $35–$45 million for the full fiscal year and expected $15–$25 million of additional pre-tax spin costs through fiscal 2016, with a significant portion expected in fiscal Q4 2015; approximately $10 million of foreign tax-related spin costs was also expected in that quarter.
- Management expected most sales effects from international market exits and distributor transitions to occur over the following four quarters. It cited EcoAdvanced launches and Western European distribution gains as positives, offset by competition, shipment timing and weaker category trends.
- Currency remains a significant headwind: management expected near-term total segment profit to continue to be affected by the stronger U.S. dollar. Venezuela’s currency controls limit access to local cash and prevent normal settlement of intercompany balances; Energizer deconsolidated its Venezuelan subsidiaries in March and recorded a $65.2 million allocated charge.
- Post-spin liquidity and costs were still developing. ParentCo had agreed to transfer at least $300 million of cash, subject to adjustments, and Energizer’s estimate was that the allocation would exceed that amount. The allocation and future working-capital, tax and employee-benefit settlements were not finalized in the filing. Potential repatriation of foreign cash could result in material U.S. tax expense.
- Key risks include standalone operating and reporting costs, separation execution and transitional-service dependencies, substantial leverage and variable-rate exposure, foreign exchange and currency-control risks, competitive pressure, declining primary-battery demand, and potential tax consequences if the spin-off’s tax-free treatment is jeopardized. A post-quarter interest-rate swap fixed the LIBOR component on $200 million of variable-rate debt through June 2022 at 2.22%.
- The board declared a $0.25-per-share dividend payable September 9, 2015, and authorized repurchases of up to 7.5 million shares; no shares had been repurchased as of the filing. Management reported disclosure controls were effective at June 30.
