| Metric | Q1 2024 | Q1 2023 |
|---|---|---|
| Revenue | $610 | $578 |
| Operating income (loss) | $16 | $(9) |
| Net loss | $(19) | $(27) |
| Adjusted EBITDA (non-GAAP) | $123 | $99 |
| Adjusted EBITDA margin (non-GAAP) | 20% | 17% |
| Operating cash flow | $49 | $(77) |
| Free cash flow (non-GAAP) | $24 | $(109) |
- Revenue rose 6%: travel revenue increased 5% to $492 million and product and professional services revenue increased 7% to $118 million. Total transaction value (TTV) grew 9% to $8.105 billion; transaction growth was 6%. Management attributed TTV growth to transaction growth and higher average ticket prices and hotel rates. Revenue yield declined 30 basis points to 7.5%, reflecting revenue mix and more digital transactions.
- Operating expenses increased 1% to $594 million. General and administrative expense rose $14 million, mainly due to $19 million of CWT acquisition costs; technology and content expense rose $7 million. Restructuring charges were $9 million versus $23 million a year earlier.
- Interest expense was $33 million, down $1 million. An $18 million non-cash gain from lower fair value of earnout liabilities benefited reported results. A $27 million income tax expense, versus an $8 million benefit in Q1 2023, contributed to the $19 million net loss despite $8 million of pretax income. The effective tax rate was 333.78%, reflecting valuation allowances, nondeductible expenses and U.S. base erosion minimum taxes.
- Operating cash flow improved by $126 million year over year, primarily due to working-capital changes, including Egencia working-capital optimization and timing of receipts and payments. Capital expenditures were $25 million. Cash and cash equivalents were $475 million at quarter-end; cash, cash equivalents and restricted cash totaled $498 million.
- Debt, net of discounts and issuance costs, was $1.363 billion; net debt was $888 million, up $2 million from year-end 2023. The effective interest rate on senior secured term loans was approximately 11.2%. The company had $50 million undrawn on its revolving facility and reported compliance with applicable covenants, including a minimum $200 million liquidity requirement.
Material changes and notable items
- Compared with Q1 2023, GBTG moved from a $9 million operating loss to $16 million of operating income and improved operating cash flow and free cash flow. Adjusted EBITDA increased 24%; these are non-GAAP measures and exclude specified costs.
- On March 24, 2024, GBTG agreed to acquire CWT at an indicated cash-free, debt-free value of approximately $570 million. Consideration is expected to include cash and approximately 72 million GBTG shares valued at $6.00 per share. Closing is expected in the second half of 2024, subject to customary conditions, including regulatory approvals. Certain termination scenarios could require fees of $32 million, $33.5 million or $35 million.
- At March 31, outstanding non-cancellable purchase commitments were approximately $223 million, including $94 million due within twelve months.
- Disclosure controls were deemed ineffective because of a material weakness involving oversight of outsourced Egencia revenue and procurement processes and related IT controls. Management expects integration into GBTG’s control environment to be completed in 2024; remediation is not complete until controls operate effectively and testing supports that conclusion.
Outlook, risks and contingencies
The filing provides no specific revenue or earnings guidance. Management said it expects existing cash, operating cash flows, available funding and planned mitigation measures to provide adequate liquidity for at least twelve months. It also noted uncertainty from macroeconomic conditions and may consider financing or cost-reduction measures. S&P maintained a B+ debt rating and changed the outlook to Positive during the quarter.
Key risks include CWT regulatory approval, timing, integration and realization of expected benefits; business-travel demand and economic or geopolitical conditions; customer and supplier relationships; variable-rate debt and liquidity needs; and the unresolved Egencia control weakness. The company reported no pending litigation expected to have a material adverse effect and no debt covenant default.
Important facts for investors to verify
- Progress toward CWT regulatory approvals, expected closing, final consideration and financing, and any related termination-fee exposure.
- Whether Egencia control remediation is completed and independently tested, and whether any financial reporting adjustments arise.
- Durability of working-capital-driven cash flow improvement and the effect of travel volumes, revenue yield and transaction mix on future results.
- Debt refinancing and maturity plans, interest-rate exposure, available liquidity, and continued covenant compliance.
- Reconciliation and consistency of non-GAAP measures, particularly Adjusted EBITDA and free cash flow, against GAAP results.
