Revenue mix and trends: Q2 card revenues and other fees rose 10.5% to $218.6 million, while cash processing revenue fell 14% to $57.5 million and interchange revenue fell 25% to $76.0 million. Net interest income increased 206% to $10.7 million. For the first half, card revenue rose 12% and net interest income rose 123%; interchange revenue declined 27%, while total revenue was essentially flat.

Cash flow and liquidity: First-half operating cash flow was $187.5 million, up from $119.5 million. Investing activities used $649.5 million, chiefly for net purchases of investment securities, other investments, capital spending and TailFin Labs contributions. Financing activities used $81.1 million. Unrestricted cash was $776.3 million at June 30; available-for-sale securities were $2.39 billion. Deposits were $3.38 billion. The company said cash, operating cash flow and borrowing capacity should cover needs for at least 12 months.

Debt and capital: No borrowings were outstanding under the $100 million revolving facility at quarter-end; the full amount was available, and Green Dot reported compliance with its covenants. It borrowed and repaid $50 million during the first half. The company and Green Dot Bank were categorized as well capitalized. First-half share repurchases totaled $44.0 million.

Other balance-sheet items: Total assets were $4.71 billion and stockholders’ equity was $907.6 million. Accumulated other comprehensive loss widened to $222.4 million from $29.8 million at year-end, principally reflecting unrealized losses on fixed-rate securities amid higher interest rates. The company said it did not intend to sell the securities and expected to hold them until recovery or maturity.

Material changes versus prior year

  • Q2 revenue decreased 1.8%, and net income declined 39.8%; first-half revenue was nearly unchanged while net income rose 5.8%.
  • Consumer Services revenue fell 17% in Q2 and 15% in the first half. Segment profit nevertheless increased 8% and 5%, respectively, as expenses declined.
  • B2B Services revenue grew 27% in both periods, with segment profit up 25% in Q2 and 26% in the first half. Growth in some BaaS programs was partly offset by higher processing costs and margin pressure in fixed-profit arrangements.
  • Money Movement Services revenue fell 18% in Q2 and 3% in the first half. First-half segment profit increased 5%, while Q2 segment profit declined 21%.
  • Active accounts were down 24% companywide at quarter-end; purchase volume declined 24% in Q2 and 28% in the first half. Management attributed much of the comparison to the prior-year stimulus and benefit payments, alongside reduced GO2bank marketing.

Outlook, commentary and risks

  • Management expected continued normalization of key metrics as the effects of government relief programs eased. It anticipated higher net interest income than 2021 levels for the rest of 2022 as rates rose, while noting future results depend on Federal Reserve decisions.
  • Management planned to increase GO2bank marketing for the remainder of the year and invest in a modern core banking and card management platform. It expected related software, hosting and personnel costs to rise, and planned further anti-money-laundering and compliance investments.
  • Several BaaS partner agreements were not renewed after negotiations; management expected a modest effect on B2B metrics and financial results in the second half of 2022.
  • Unusual items included a $13 million payment to settle Republic Bank’s claim over the uncompleted Tax Refund Solutions acquisition, recorded in Q2 expenses, and $4.1 million of first-half long-lived asset impairment charges. The failed acquisition had also resulted in a $5 million termination fee recorded in 2021 and paid in January 2022.
  • Key exposures include dependence on Walmart (21% of revenue in Q2 and the first half) and a single BaaS partner (29% of Q2 revenue and 26% of first-half revenue); partner concentration did not correspond to the same concentration in gross profit. Other risks include consumer activity and inflation, interest-rate-driven investment valuation changes, fraud and settlement losses, regulatory and AML compliance, technology transition and service continuity, and unresolved litigation. Management provided no specific numerical earnings guidance in the supplied filing text.
  • Two securities-related cases tied to alleged statements about the company’s business strategy remained unresolved; management said the potential outcome and range of losses could not then be estimated. The Republic Bank settlement was resolved for the stated payment.

Important facts for investors to verify

  • Whether active-account, purchase-volume and Consumer Services declines stabilize, and whether GO2bank marketing increases account growth at acceptable acquisition costs.
  • The effect and timing of BaaS partner non-renewals, including whether the reported “modest” second-half impact is borne out.
  • Investment portfolio sensitivity to interest rates: fair value was $2.39 billion versus $2.68 billion amortized cost, with $291.3 million of gross unrealized losses at June 30.
  • Whether investment in the banking platform, compliance and other growth initiatives produces returns sufficient to offset higher costs.
  • Exposure to concentrated partners and the progress and potential financial impact of the unresolved securities litigation and other contingencies.
